| In order to further regulate the relationship between state-owned shareholders and listed companies under their control, promote the resolution of horizontal competition and the regulation of affiliated transactions, and promote the healthy development of state-owned economy and securities market, in accordance with the relevant laws and administrative regulations of the state, we have formulated the Guiding Opinions on Promoting the Resolution of Horizontal Competition and the Regulatiion of Affiliated Transactions by the State-owned Shareholders and the Listed Companies under Their Control, which are issued to you. Please comply with and implement these Guiding Opinions in light of your actual circumstances, and timely report the relevant problems and circumstances in your work. | | 为进一步规范国有股东与所控股上市公司关系，推动解决同业竞争、规范关联交易，促进国有经济和证券市场健康发展，根据国家有关法律、行政法规，我们制定了《关于推动国有股东与所控股上市公司解决同业竞争 规范关联交易的指导意见》， 现印发给你们，请结合各自实际，认真遵照执行，并及时反映工作中的有关问题和情况。 |

| In order to further regulate the conducts of the state-owned controlling shareholders and actual controllers (hereinafter referred to as “state-owned shareholders”) of listed companies, promote the sustainable development of state-controlled listed companies, and protect the legitimate interests of the various types of investors, in accordance with the laws and regulations on state-owned assets supervision and administration and securities regulation, among others, the following guiding opinions are hereby offered: | | 为进一步规范上市公司国有控股股东和实际控制人（以下简称国有股东）行为，促进国有控股上市公司持续发展，保护各类投资者合法权益，根据国有资产监管、证券监管等法律法规，提出以下指导意见。 |

The state-owned shareholders and the listed companies under their control shall clarify their strategic positioning in light of their development planning, and sort out their respective businesses on this basis so as to reasonably divide the business scopes and boundaries, resolve horizontal competition and regulate affiliated transactions. | | 一、国有股东与所控股上市公司要结合发展规划，明确战略定位。在此基础上，对各自业务进行梳理，合理划分业务范围与边界，解决同业竞争，规范关联交易。 |
