| Chapter I General Provisions | | 第一章 总则 |
| Article 1 For purposes of regulating the charitable trust, protecting the lawful rights and interests of the parties to the charitable trusts, and promoting the development of the charity cause, these Measures are developed under the Charity Law of the People's Republic of China (hereinafter referred to as the “Charity Law”), the Trust Law of the People's Republic of China (hereinafter referred to as the “Trust Law”), the Banking Supervision Law of the People's Republic of China (hereinafter referred to as the “Banking Supervision Law”), and other laws and regulations. | | 第一条 为规范慈善信托，保护慈善信托当事人的合法权益，促进慈善事业发展，根据《中华人民共和国慈善法》（简称《慈善法》）、《中华人民共和国信托法》（简称《信托法》）、《中华人民共和国银行业监督管理法》（简称《银行业监督管理法》）等法律法规，制定本办法。 |
| Article 2 For the purpose of these Measures, “charitable trust” falls under public welfare trust, which means the activities under which the principal entrusts its property to the trustee in accordance with the law for charitable purposes, and the trustee manages and disposes of the property in the name of the trustee according to the principal's wishes, and conducts charitable activities. | | 第二条 本办法所称慈善信托属于公益信托，是指委托人基于慈善目的，依法将其财产委托给受托人，由受托人按照委托人意愿以受托人名义进行管理和处分，开展慈善活动的行为。 |
| Article 3 Charitable trust shall be conducted under the principles of legitimacy, free will and honesty, without violating the social morality, endangering the national security, or damaging the social and public interests, or the lawful rights and interests of others. | | 第三条 开展慈善信托，应当遵循合法、自愿、诚信的原则，不得违背社会公德、危害国家安全、损害社会公共利益和他人合法权益。 |
| Article 4 The state shall encourage the development of charitable trust, support natural persons, legal persons and other organizations in their practicing the socialist core values, carrying forward the fine traditions of the Chinese nation, and carrying out charitable activities according to law. | | 第四条 国家鼓励发展慈善信托，支持自然人、法人和其他组织践行社会主义核心价值观，弘扬中华民族传统美德，依法开展慈善活动。 |
| Article 5 The principals, trustees, beneficiaries and supervisors of charitable trusts that conduct charitable trust within the territory of the People's Republic of China shall be governed by these Measures. | | 第五条 慈善信托的委托人、受托人、受益人以及监察人在中华人民共和国境内开展慈善信托，适用本办法。 |
| Article 6 The banking regulatory authority under the State Council and its dispatched offices, the civil affairs department under the State Council and the civil affairs departments of the local people's governments at or above the county level shall, according to their respective lawful functions, supervise and administer the charitable trusts. | | 第六条 国务院银行业监督管理机构及其派出机构、国务院民政部门及县级以上地方各级人民政府民政部门根据各自法定职责对慈善信托实施监督管理。 |
| Chapter II Establishment of Charitable Trusts | | 第二章 慈善信托的设立 |
| Article 7 A charitable trust shall be established for the lawful charitable trust purposes. | | 第七条 设立慈善信托，必须有合法的慈善信托目的。 |
| Trusts established for the purposes of carrying out the following charitable activities fall under charitable trust: | | 以开展下列慈善活动为目的而设立的信托，属于慈善信托： |
| (1) Conducting poverty alleviation. | | （一）扶贫、济困； |
| (2) Giving relief to the aged, orphans, the sick, the disabled, and giving special care to disabled servicemen, and to family members of revolutionary martyrs and servicemen. | | （二）扶老、救孤、恤病、助残、优抚； |
| (3) Giving salvage to the damage caused by natural disasters, disastrous accidents, public health incidents and other emergencies. | | （三）救助自然灾害、事故灾难和公共卫生事件等突发事件造成的损害； |
| (4) Promoting the development of education, science, culture, health, sports and other undertakings. | | （四）促进教育、科学、文化、卫生、体育等事业的发展； |
| (5) Preventing and controlling pollution and other public hazards, and protecting and improving the ecological environment. | | （五）防治污染和其他公害，保护和改善生态环境； |
| (6) Other public welfare activities as prescribed in the Charity Law. | | （六）符合《慈善法》规定的其他公益活动。 |
| Article 8 A principal of charitable trust shall be a natural person with full capacity for civil conduct, a legal person or another organization established in accordance with the law. | | 第八条 慈善信托的委托人应当是具有完全民事行为能力的自然人、法人或者依法成立的其他组织。 |
| Article 9 A principal may determine a charitable organization or trust company it trusts to serve as the trustee of charitable trust. | | 第九条 慈善信托的受托人可以由委托人确定其信赖的慈善组织或者信托公司担任。 |
| Article 10 No principal of any charitable trust shall designate any interested party of the principal or trustee as the beneficiary or designate any aforesaid party in a disguised manner as the beneficiary. | | 第十条 慈善信托的委托人不得指定或者变相指定与委托人或受托人具有利害关系的人作为受益人。 |
| Article 11 A principal of a charitable trust may determine a supervisor as required. | | 第十一条 慈善信托的委托人根据需要，可以确定监察人。 |
| A supervisor shall supervise the conduct of a trustee and protect the rights and interests of the principal and beneficiary according to the law. A supervisor finding that the trustee violates the trust obligation or can hardly perform its functions shall report to the principal, and have the right to file a lawsuit with the people's court in its own name. | | 监察人对受托人的行为进行监督，依法维护委托人和受益人的权益。监察人发现受托人违反信托义务或者难以履行职责的，应当向委托人报告，并有权以自己的名义向人民法院提起诉讼。 |
| Article 12 A charitable trust shall be established with definite trust property legally owned by the principal. | | 第十二条 设立慈善信托，必须有确定的信托财产，并且该信托财产必须是委托人合法所有的财产。 |
| For the purpose of the preceding paragraph, property includes the lawful property rights. | | 前款所称财产包括合法的财产权利。 |
| Article 13 Written form shall be adopted in the formation of charitable trust and the determination of the trustee and the supervisor. | | 第十三条 设立慈善信托、确定受托人和监察人，应当采取书面形式。 |
| Written form includes trust contracts, wills or other written documents as prescribed by the laws and administrative regulations. | | 书面形式包括信托合同、遗嘱或者法律、行政法规规定的其他书面文件等。 |
| Article 14 A document of a charitable trust shall specify the following matters: | | 第十四条 慈善信托文件应当载明下列事项： |
| (1) the name of the charitable trust; | | （一）慈善信托名称； |
| (2) the purpose of the charitable trust; | | （二）慈善信托目的； |
| (3) the names or titles and domiciles of the principal and trustee, and the name or title and domicile of the supervisor, if any; | | （三）委托人、受托人的姓名或者名称、住所，如设置监察人，监察人的姓名或者名称、住所； |
| (4) the scope of beneficiary and the procedures and methods for the selection thereof; | | （四）受益人范围及选定的程序和方法； |
| (5) the scope, type, status and management methods of the trust property; | | （五）信托财产的范围、种类、状况和管理方法； |
| (6) the proportion or amount of annual charitable expenses; | | （六）年度慈善支出的比例或数额； |
| (7) the contents and method of information disclosure; | | （七）信息披露的内容和方式； |
| (8) the form and means by which the beneficiary obtains the trust interests; and | | （八）受益人取得信托利益的形式和方法； |
| (9) the rates and methods for the collection of trust remuneration. | | （九）信托报酬收取标准和方法。 |
| Besides the matters listed in the preceding paragraph, the term of the trust, the means by which a new trustee is chosen and appointed, the reasons for the termination of the trust, the way of dispute settlement, and other matters may also be specified. | | 除前款所列事项外，可以载明信托期限、新受托人的选任方式、信托终止事由、争议解决方式等事项。 |
| Chapter III Recordation of Charitable Trust | | 第三章 慈善信托的备案 |
| Article 15 A trustee shall, within 7 days of the date when a document of a charitable trust is signed, submit the relevant document to the civil affairs department of the people's government at or above the county level in the place where the trustee is located for recordation. | | 第十五条 受托人应当在慈善信托文件签订之日起7日内，将相关文件向受托人所在地县级以上人民政府民政部门备案。 |
| Anyone that fails to submit the relevant document to the civil affairs department for recordation as prescribed in the preceding paragraph shall not enjoy any tax preferences. | | 未按照前款规定将相关文件报民政部门备案的，不享受税收优惠。 |
| Article 16 Where a trust company serves as the trustee, the civil affairs department in the districted city of the registration place shall perform the functions of recordation; and where a charitable organization serves as the trustee, the civil affairs department approving its registration and recognizing it shall perform the functions of recordation. | | 第十六条 信托公司担任受托人的，由其登记注册地设区市的民政部门履行备案职责；慈善组织担任受托人的，由准予其登记或予以认定的民政部门履行备案职责。 |
| Article 17 Where a same charitable trust has two or more trustees, the principal shall determine one of the trustees, which is primarily responsible for the management of the trust, to undergo the recordation formalities under this Chapter. The civil affairs department where the recordation formalities are undergone shall share the recordation information with the civil affairs departments of the people's governments at or above the county level in the places where other trustees are located. | | 第十七条 同一慈善信托有两个或两个以上的受托人时，委托人应当确定其中一个承担主要受托管理责任的受托人按照本章规定进行备案。备案的民政部门应当将备案信息与其他受托人所在地的县级以上人民政府民政部门共享。 |
| Article 18 To apply for recordation with the civil affairs department, a trustee of a charitable trust shall submit the following written materials: | | 第十八条 慈善信托的受托人向民政部门申请备案时，应当提交以下书面材料： |
| (1) an application for recordation; | | （一）备案申请书； |
| (2) a photocopy of the identity certificate of the principal and a statement on the legitimacy of the trust property; | | （二）委托人身份证明（复印件）和关于信托财产合法性的声明； |
| (3) a photocopy of the financial license of a trust company serving as the trustee or the certification materials proving that a charitable organization is approved to be registered or recognized; | | （三）担任受托人的信托公司的金融许可证或慈善组织准予登记或予以认定的证明材料（复印件）； |
| (4) a trust document; | | （四）信托文件； |
| (5) a certificate on the opening of a special fund account for a charitable trust and a fund custody agreement of a commercial bank, excluding non-capital trust; | | （五）开立慈善信托专用资金账户证明、商业银行资金保管协议，非资金信托除外； |
| (6) a photocopy of the certification materials proving the delivery of the trust property; and | | （六）信托财产交付的证明材料（复印件）； |
