| Chapter I General Provisions | | 第一章 总 则 |
| Article 1 These Measures are developed in accordance with the Civil Code of the People's Republic of China, the Company Law of the People's Republic of China, the Banking Supervision Law of the People's Republic of China, and other applicable laws and regulations for the purposes of regulating the operations of financial leasing companies, preventing financial risks, and promoting the sound operation and high-quality development of financial leasing companies. | | 第一条 为规范金融租赁公司经营行为，防范金融风险，促进金融租赁公司稳健经营和高质量发展，根据《中华人民共和国民法典》、《中华人民共和国公司法》、《中华人民共和国银行业监督管理法》等法律法规，制定本办法。 |
| Article 2 For the purposes of these Measures, “financial leasing companies” means non-bank financial institutions that are formed with the approval of the National Financial Regulatory Administration (“NFRA”) and primarily engaged in the financial leasing business. | | 第二条 本办法所称金融租赁公司，是指经国家金融监督管理总局批准设立的，以经营融资租赁业务为主的非银行金融机构。 |
| The name of a financial leasing company shall include the words “financial leasing”. Without the approval of the NFRA, no organization or individual may form a financial leasing company, and no organization may use the words “financial leasing” in its name. | | 金融租赁公司名称中应当标明“金融租赁”字样。未经国家金融监督管理总局批准，任何组织和个人不得设立金融租赁公司，任何组织不得在其名称中使用“金融租赁”字样。 |
| Article 3 For the purposes of these Measures, “specialized subsidiary” means a specialized leasing subsidiary formed by a financial leasing company with the approval of the NFRA to engage in the financial leasing business in specific fields or carry out the financial leasing business in a specific business model. | | 第三条 本办法所称专业子公司，是指经国家金融监督管理总局批准，金融租赁公司设立的从事特定领域融资租赁业务或以特定业务模式开展融资租赁业务的专业化租赁子公司。 |
| For the purposes of these Measures, “project company” means a project subsidiary specially formed by a financial leasing company or a financial leasing company's specialized subsidiary for specific purposes, such as engaging in a particular type of financial leasing business. | | 本办法所称项目公司，是指金融租赁公司、专业子公司为从事某类具体融资租赁业务等特定目的而专门设立的项目子公司。 |
| Article 4 For the purposes of these Measures, “financial leasing” means transaction activities in which a financial leasing company, as the lessor, purchases leased property from the seller according to the lessee's selection of the seller and leased property, and provides leased property to the lessee for use, while the lessee pays the rent. Such transactions are characterized by the nature of financing and involve the transfer of ownership of the leased property from the seller to the lessor. | | 第四条 本办法所称融资租赁，是指金融租赁公司作为出租人，根据承租人对出卖人、租赁物的选择，向出卖人购买租赁物，提供给承租人使用，承租人支付租金的交易活动，同时具有资金融通性质和租赁物所有权由出卖人转移至出租人的特点。 |
| For the purposes of these Measures, “sale and leaseback” means a form of financial leasing in which the lessee is also the seller, that is, the lessee sells its own property to the lessor and, at the same time, enters into a financial leasing contract with the lessor to lease back the property from the lessor. | | 本办法所称售后回租业务，是指承租人和出卖人为同一人的融资租赁业务，即承租人将自有资产出卖给出租人，同时与出租人签订融资租赁合同，再将该资产从出租人处租回的融资租赁业务。 |
| Article 5 The types of leased property used by financial leasing companies to carry out the financial leasing business include equipment assets, productive biological assets, and other assets recognized by the NFRA. | | 第五条 金融租赁公司开展融资租赁业务的租赁物类型，包括设备资产、生产性生物资产以及国家金融监督管理总局认可的其他资产。 |
| Article 6 The NFRA and its local offices shall, in accordance with the law, supervise and administer financial leasing companies, specialized subsidiaries of financial leasing companies, and project companies formed by them. | | 第六条 国家金融监督管理总局及其派出机构依法对金融租赁公司、金融租赁公司专业子公司以及所设立的项目公司实施监督管理。 |
| Chapter II Formation and Modification of Institutions | | 第二章 机构设立及变更 |
| Section 1 Formation and Modification of Financial Leasing Companies | | 第一节 金融租赁公司设立及变更 |
| Article 7 A financial leasing company to be formed upon application shall meet the following conditions: | | 第七条 申请设立金融租赁公司，应当具备以下条件： |
| (1) It has bylaws conforming to the provisions of the Company Law of the People's Republic of China and the provisions issued by the NFRA. | | （一）有符合《中华人民共和国公司法》和国家金融监督管理总局规定的公司章程； |
| (2) Its principal capital contributors meet the prescribed conditions. | | （二）有符合规定条件的主要出资人； |
| (3) Its registered capital is monetary capital paid up in a lump sum of, at a minimum, one billion yuan or an equivalent in freely convertible currencies, and the NFRA may raise the minimum amount of registered capital of the financial leasing company in light of the company's development and the needs of prudential regulation. | | （三）注册资本为一次性实缴货币资本，最低限额为10亿元人民币或等值的可自由兑换货币，国家金融监督管理总局根据金融租赁公司的发展情况和审慎监管的需要，可以提高金融租赁公司注册资本金的最低限额； |
| (4) It has directors and officers qualified for their positions, and at least 50% of its total number of employees have three or more years of experience in finance or financial leasing, and it has at least one person with three or more years of experience in finance on key positions such as risk management, fund management, and compliance and internal control management respectively. | | （四）有符合任职资格条件的董事、高级管理人员，从业人员中具有金融或融资租赁工作经历3年以上的人员应当不低于总人数的50%，并且在风险管理、资金管理、合规及内控管理等关键岗位上至少各有1名具有3年以上相关金融从业经验的人员； |
| (5) It has established effective corporate governance, internal control, and risk management systems. | | （五）建立有效的公司治理、内部控制和风险管理体系； |
| (6) It has established an information technology framework commensurate with its operations and satisfying the regulatory requirements, has necessary, safe, and compliant information systems to support its operations, and has technologies and measures that guarantee its continuous operations. | | （六）建立与业务经营和监管要求相适应的信息科技架构，具有支撑业务经营的必要、安全且合规的信息系统，具备保障业务持续运营的技术与措施； |
| (7) It has business premises, security protection measures, and other facilities suitable for its operations. | | （七）有与业务经营相适应的营业场所、安全防范措施和其他设施； |
| (8) It meets other prudential conditions specified in the provisions issued by the NFRA. | | （八）国家金融监督管理总局规章规定的其他审慎性条件。 |
| Article 8 The principal capital contributors of financial leasing companies include commercial banks registered inside or outside China with an independent legal person status, large enterprises registered inside or outside China and mainly engaged in the manufacturing of products suitable for financial leasing transactions, financial leasing companies registered outside China with an independent legal person status, companies invested by and operated with state-owned (financial) capital formed or authorized by law, and other capital contributors recognized by the NFRA. | | 第八条 金融租赁公司的主要出资人，包括在中国境内外注册的具有独立法人资格的商业银行，在中国境内外注册的主营业务为制造适合融资租赁交易产品的大型企业，在中国境外注册的具有独立法人资格的融资租赁公司，依法设立或授权的国有（金融）资本投资、运营公司以及国家金融监督管理总局认可的其他出资人。 |
| A financial leasing company shall have, at a minimum, one principal capital contributor that meets the conditions specified in Articles 10 through 13, and the principal capital contributor's capital contribution shall account for not less than 51% of the total capital stock of the financial leasing company to be formed. | | 金融租赁公司应当有一名符合第十条至第十三条规定的主要出资人，且其出资比例不低于拟设金融租赁公司全部股本的51%。 |
| Investing parties and banking institutions holding financial equity upon authorization by the State Council, parties as otherwise prescribed by laws and regulations, and investors that participate in the mergers, acquisition or restructurings of high-risk financial leasing companies as approved by the NFRA are not subject to the provisions of the preceding paragraph of this article. | | 根据国务院授权持有金融股权的投资主体、银行业金融机构，法律法规另有规定的主体，以及投资人经国家金融监督管理总局批准并购重组高风险金融租赁公司，不受本条前款规定限制。 |
| Article 9 The principal capital contributor of a financial leasing company shall meet the following conditions: | | 第九条 金融租赁公司主要出资人，应当具备以下条件： |
| (1) It has a good corporate governance structure, sound risk management rules, and an effective internal control mechanism. | | （一）具有良好的公司治理结构、健全的风险管理制度和内部控制机制； |
| (2) It has determined definite development strategies and a clear profit model for the financial leasing company to be formed. | | （二）为拟设立金融租赁公司确定了明确的发展战略和清晰的盈利模式； |
| (3) It has neither been involved in any major case nor committed any serious violation of laws and regulations in the past two years. | | （三）最近2年内未发生重大案件或重大违法违规行为； |
| (4) It has a good social reputation, a good integrity record, and a good tax payment record. | | （四）有良好的社会声誉、诚信记录和纳税记录； |
| (5) The capital to be contributed by it to the financial leasing company is its own capital, and it may not make such capital contribution with funds held as a trustee or borrowed funds. | | （五）入股资金为自有资金，不得以委托资金、债务资金等非自有资金入股； |
| (6) It shall comply with the laws and regulations of its place of registration if it is registered overseas. | | （六）注册地位于境外的，应遵守注册地法律法规； |
| (7) It meets other prudential conditions specified in the provisions issued by the NFRA. | | （七）国家金融监督管理总局规章规定的其他审慎性条件。 |
| Article 10 To be a principal capital contributor of a financial leasing company, a commercial bank registered inside or outside China with an independent legal person status shall, in addition to satisfying the conditions specified in Article 9 of these Measures, meet the following conditions: | | 第十条 在中国境内外注册的具有独立法人资格的商业银行作为金融租赁公司主要出资人，除适用本办法第九条规定的条件外，还应当具备以下条件： |
| (1) Its regulatory rating is good. | | （一）监管评级良好； |
| (2) Its total assets at the end of the last accounting year were not less than 500 billion yuan or an equivalent in freely convertible currencies. | | （二）最近1个会计年度末总资产不低于5000亿元人民币或等值的可自由兑换货币； |
| (3) Its financial condition is good, with profits earned in the last two accounting years consecutively. | | （三）财务状况良好，最近2个会计年度连续盈利； |
| (4) The balance of its equity investment (including the amount of the current investment) shall generally not exceed 50% of its net assets. | | （四）权益性投资余额原则上不得超过本行净资产的50%（含本次投资金额）； |
| (5) It has effective measures for combating money laundering and financing of terrorism. | | （五）具有有效的反洗钱和反恐怖融资措施； |
| (6) The regulatory authority of the country or region where the overseas commercial bank is located has established a sound supervision and administration cooperation mechanism with the NFRA. | | （六）境外商业银行所在国家或地区的监管当局已经与国家金融监督管理总局建立良好的监督管理合作机制； |
| (7) It satisfies the prudential regulation requirements of the regulatory authority of the country or region where it is located. | | （七）满足所在国家或地区监管当局的审慎监管要求； |
| (8) It meets other prudential conditions specified in the provisions issued by the NFRA. | | （八）国家金融监督管理总局规章规定的其他审慎性条件。 |
| Article 11 To be a principal capital contributor of a financial leasing company, a large enterprise registered inside or outside China and mainly engaged in the manufacturing of products suitable for financial leasing transactions shall, in addition to satisfying the conditions specified in Article 9 of these Measures, meet the following conditions: | | 第十一条 在中国境内外注册的主营业务为制造适合融资租赁交易产品的大型企业作为金融租赁公司主要出资人，除适用本办法第九条规定的条件外，还应当具备以下条件： |
| (1) Its operating revenue in the last accounting year was not less than 50 billion yuan or an equivalent in freely convertible currencies. | | （一）最近1个会计年度的营业收入不低于500亿元人民币或等值的可自由兑换货币； |
| (2) Its net assets at the end of the last accounting year were not less than 40% of its total assets. | | （二）最近1个会计年度末净资产不低于总资产的40%； |
| (3) Its sales revenue from its main business in the last accounting year accounts for, at a minimum, 80% of its total operating revenue. | | （三）最近1个会计年度主营业务销售收入占全部营业收入的80%以上； |
| (4) Its financial condition is good, with profits earned in the last three accounting years consecutively. | | （四）财务状况良好，最近3个会计年度连续盈利； |
| (5) The balance of its equity investment (including the amount of the current investment) shall generally not exceed 40% of its net assets. | | （五）权益性投资余额原则上不得超过本公司净资产的40%（含本次投资金额）； |
| (6) It meets other prudential conditions specified in the provisions issued by the NFRA. | | （六）国家金融监督管理总局规章规定的其他审慎性条件。 |
| If an enterprise holds the equity of a financial leasing company through an investment or operating company within the group based on its business management needs, the conditions specified in this article may be determined based on data in the group's consolidated statements. | | 企业根据经营管理需要，通过集团内投资、运营公司持有金融租赁公司股权的，可以按照集团合并报表数据认定本条规定条件。 |
| Article 12 To be a principal capital contributor of a financial leasing company, a financial leasing company registered outside China with an independent legal person status shall, in addition to satisfying the conditions specified in Article 9 of these Measures, meet the following conditions: | | 第十二条 在中国境外注册的具有独立法人资格的融资租赁公司作为金融租赁公司主要出资人，除适用本办法第九条规定的条件外，还应当具备以下条件： |
| (1) It has evident advantages in such aspects as business resources, human resources reserve, and management experience, and has mature experience in financial leasing operations and other aspects. | | （一）在业务资源、人才储备、管理经验等方面具备明显优势，在融资租赁业务开展等方面具有成熟经验； |
| (2) Its total assets at the end of the last accounting year were not less than 20 billion yuan or an equivalent in freely convertible currencies. | | （二）最近1个会计年度末总资产不低于200亿元人民币或等值的可自由兑换货币； |
| (3) It has a good financial status, with profits earned in the last three accounting years consecutively. | | （三）财务状况良好，最近3个会计年度连续盈利； |
| (4) The balance of its equity investment (including the amount of the current investment) shall generally not exceed 40% of its net assets. | | （四）权益性投资余额原则上不得超过本公司净资产的40%（含本次投资金额）； |
| (5) A financial leasing company subject to financial regulation shall satisfy the prudential regulation requirements of the regulatory authority of the country or region where it is located. | | （五）接受金融监管的融资租赁公司需满足所在国家或地区监管当局的审慎监管要求； |
| (6) It meets other prudential conditions specified in the provisions issued by the NFRA. | | （六）国家金融监督管理总局规章规定的其他审慎性条件。 |
| Article 13 To be a principal capital contributor of a financial leasing company, a company invested by or operated with state-owned (financial) capital as formed or authorized in accordance with the law shall, in addition to satisfying the conditions specified in Article 9 of these Measures, meet the following conditions: | | 第十三条 依法设立或授权的国有（金融）资本投资、运营公司作为金融租赁公司主要出资人，除适用本办法第九条规定的条件外，还应当具备以下条件： |
| (1) The total assets of a company invested by or operated with state-owned capital shall not be less than 300 billion yuan or an equivalent in freely convertible currencies and its registered capital shall not be less than three billion yuan at the end of the last accounting year. The total assets of a company invested by or operated with state-owned financial capital shall not be less than 500 billion yuan or an equivalent in freely convertible currencies and its registered capital shall not be less than five billion yuan at the end of the last accounting year. | | （一）国有资本投资、运营公司最近1个会计年度末总资产不低于3000亿元人民币或等值的可自由兑换货币且注册资本不低于30亿元，国有金融资本投资、运营公司最近1个会计年度末总资产不低于5000亿元人民币或等值的可自由兑换货币且注册资本不低于50亿元； |
| (2) It has a good financial status, with profits earned in the last three accounting years consecutively. | | （二）财务状况良好，最近3个会计年度连续盈利； |
| (3) It meets other prudential conditions specified in the provisions issued by the NFRA. | | （三）国家金融监督管理总局规章规定的其他审慎性条件。 |
| Article 14 To be an ordinary capital contributor of a financial leasing company, any other financial institution shall be subject to the conditions specified in subparagraphs (1), (3), (4), (5), (6), and (7) of Article 9 and subparagraphs (1), (3), (4), (5), (6), and (7) of Article 10 of these Measures. | | 第十四条 其他金融机构作为金融租赁公司一般出资人，适用本办法第九条第一项、第三项、第四项、第五项、第六项、第七项及第十条第一项、第三项、第四项、第五项、第六项和第七项规定的条件。 |
| To be an ordinary capital contributor of a financial leasing company, any other non-financial enterprise shall, in addition to satisfying the conditions specified in subparagraphs (1), (3), (4), (5), (6), and (7) of Article 9 of these Measures, also meet the conditions that the listed company has gained profits for the last two consecutive accounting years, the net assets at the end of the last accounting year shall not be less than 30% of its total assets, and the balance of its equity investment (including the amount of this investment) shall generally not exceed 50% of its net assets. | | 其他非金融企业作为金融租赁公司一般出资人，除适用本办法第九条第一项、第三项、第四项、第五项、第六项、第七项外，还应当符合最近2个会计年度连续盈利、最近1个会计年度末净资产不低于总资产的30%、权益性投资余额原则上不得超过本公司净资产的50%（含本次投资金额）的条件。 |
| Article 15 An enterprise under any of the following circumstances shall not serve as a capital contributor of a financial leasing company: | | 第十五条 有以下情形之一的企业，不得作为金融租赁公司的出资人： |
| (1) Its corporate governance structure or mechanism is evidently defective. | | （一）公司治理结构与机制存在明显缺陷； |
| (2) It has a large number of affiliates, with a complex and non-transparent equity structure and frequent and abnormal affiliated transactions. | | （二）关联企业众多、股权关系复杂且不透明、关联交易频繁且异常； |
| (3) Its core business is not prominent and its business scope involves too many industries. | | （三）核心主业不突出且其经营范围涉及行业过多； |
| (4) Its cash flow fluctuations are substantially affected by the economic climate. | | （四）现金流量波动受经济景气影响较大； |
| (5) Its asset-liability ratio or financial leverage ratio is higher than the average level of the industry. | | （五）资产负债率、财务杠杆率高于行业平均水平； |
| (6) It is included in the list of severely dishonest entities by the relevant authority. | | （六）被相关部门纳入严重失信主体名单； |
| (7) It seriously evades financial debts due. | | （七）存在恶意逃废金融债务行为； |
| (8) It provides any false materials or makes any misstatement. | | （八）提供虚假材料或者作不实声明； |
| (9) It was investigated and punished by the financial regulatory department or relevant government department due to its violation of laws and regulations, which has adverse effects. | | （九）因违法违规行为被金融监管部门或政府有关部门查处，造成恶劣影响； |
| (10) Any other circumstance which may have a significantly adverse impact on the financial leasing company. | | （十）其他可能会对金融租赁公司产生重大不利影响的情况。 |
| Article 16 The nature, organizational form, and organizational structure of a financial leasing company shall comply with the provisions of the Company Law of the People's Republic of China and other relevant laws and regulations and shall be indicated in the company's bylaws. | | 第十六条 金融租赁公司的公司性质、组织形式及组织机构应当符合《中华人民共和国公司法》及其他有关法律法规的规定，并应当在公司章程中载明。 |
| Article 17 An office qualification confirmation system shall be implemented for directors and officers of financial leasing companies. | | 第十七条 金融租赁公司董事和高级管理人员实行任职资格核准制度。 |
| Article 18 A financial leasing company that has any of the following modifications shall apply to the NFRA or its local office for approval: | | 第十八条 金融租赁公司有下列变更事项之一的，应当向国家金融监督管理总局或其派出机构申请批准： |
| (1) Change of its name. | | （一）变更名称； |
| (2) Adjustment of its business scope. | | （二）调整业务范围； |
| (3) Change of its registered capital. | | （三）变更注册资本； |
| (4) Change of equity or adjustment of equity structure. | | （四）变更股权或调整股权结构； |
| (5) Amendments to the company's bylaws. | | （五）修改公司章程； |
| (6) Change of its domicile. | | （六）变更住所； |
| (7) Replacement of any director or officer. | | （七）变更董事、高级管理人员； |
| (8) Business combination or division. | | （八）分立或合并； |
| (9) Any other modification prescribed by the NFRA. | | （九）国家金融监督管理总局规定的其他变更事项。 |
| Section 2 Formation and Modification of Specialized Subsidiaries | | 第二节 专业子公司设立及变更 |
| Article 19 With the approval of the NFRA, a financial leasing company may form specialized subsidiaries in bonded areas, pilot free trade zones, free trade ports, and other domestic areas within China as well as in overseas regions. If overseas investment matters are involved, the relevant provisions of the state on the management of overseas investment shall be complied with. | | 第十九条 经国家金融监督管理总局批准，金融租赁公司可以在中国境内保税地区、自由贸易试验区、自由贸易港等境内区域以及境外区域设立专业子公司。涉及境外投资事项的，应当符合我国境外投资管理相关规定。 |
| Article 20 The business fields of specialized subsidiaries include aircraft (including engines), vessels (including containers), and other financial leasing business fields approved by the NFRA. With the approval of the NFRA, a financial leasing company may form a specialized subsidiary specialized in the manufacturer lease business model. | | 第二十条 专业子公司的业务领域包括飞机（含发动机）、船舶（含集装箱）以及经国家金融监督管理总局认可的其他融资租赁业务领域。经国家金融监督管理总局批准，金融租赁公司可以设立专门从事厂商租赁业务模式的专业子公司。 |
| The business fields involved in the financial leasing business or the business models such as manufacturer lease of a specialized subsidiary shall match the specific business fields or specific business models reflected in its company name. | | 专业子公司开展融资租赁业务所涉及业务领域或厂商租赁等业务模式，应当与其公司名称中所体现的特定业务领域或特定业务模式相匹配。 |
| Article 21 A financial leasing company applying for the formation of a domestic specialized subsidiary shall, in addition to satisfying the conditions specified in Article 9 and subparagraphs (1), (3), (4), and (5) of Article 10 of these Measures, meet the following conditions: | | 第二十一条 金融租赁公司申请设立境内专业子公司，除适用本办法第九条及第十条第一项、第三项、第四项、第五项规定的条件外，还应当具备以下条件： |
| (1) It has good capabilities for consolidated management. | | （一）具有良好的并表管理能力； |
| (2) It has certain advantages in such aspects as existing business volume and human resources reserve, has mature experience in such aspects as specialized management and the business operation of project companies, and can effectively support the sound and sustainable development of the specialized subsidiary. | | （二）在业务存量、人才储备等方面具备一定优势，在专业化管理、项目公司业务开展等方面具有成熟的经验，能够有效支持专业子公司稳健可持续发展； |
| (3) All its regulatory indicators comply with the provisions of these Measures. | | （三）各项监管指标符合本办法规定； |
| (4) It meets other prudential conditions specified in the provisions issued by the NFRA. | | （四）国家金融监督管理总局规章规定的其他审慎性条件。 |
| Article 22 To apply for the formation of an overseas specialized subsidiary, a financial leasing company shall, in addition to satisfying the conditions specified in Article 21 of these Measures, meet the following conditions: | | 第二十二条 金融租赁公司申请设立境外专业子公司，除适用本办法第二十一条规定的条件外，还应当具备以下条件： |
| (1) It is really necessary for its business development and it has clear strategies for overseas development. | | （一）确有业务发展需要，具备清晰的海外发展战略； |
| (2) Its internal management level and risk management and control ability meet the development needs of its overseas business. | | （二）内部管理水平和风险管控能力与境外业务发展相适应； |
| (3) It has a team of professionals suitable for the overseas business environment. | | （三）具备与境外经营环境相适应的专业人才队伍； |
| (4) The application complies with the laws and regulations of the relevant country or region. | | （四）所提申请符合有关国家或地区的法律法规。 |
| Article 23 A specialized subsidiary formed by a financial leasing company shall meet the following conditions: | | 第二十三条 金融租赁公司设立的专业子公司，应当具备以下条件： |
| (1) The capital contributor satisfies the prescribed conditions. | | （一）有符合规定条件的出资人； |
| (2) Its registered capital is, at a minimum, 300 million yuan or an equivalent in freely convertible currencies. | | （二）注册资本最低限额为3亿元人民币或等值的可自由兑换货币； |
| (3) It has directors and officers who are qualified to hold office and has qualified personnel who are familiar with the financial leasing business. | | （三）有符合任职资格条件的董事、高级管理人员和熟悉融资租赁业务的从业人员； |

| (5) It has business premises, security protection measures, and other facilities commensurate with its operations. | | （五）有与业务经营相适应的营业场所、安全防范措施和其他设施； |
| (6) A domestic specialized subsidiary shall have the bylaws in compliance with the Company Law of the People's Republic of China and the provisions issued by the NFRA. | | （六）境内专业子公司需有符合《中华人民共和国公司法》和国家金融监督管理总局规定的公司章程； |
| (7) It meets other prudential conditions specified in the provisions issued by the NFRA. | | （七）国家金融监督管理总局规章规定的其他审慎性条件。 |
| Article 24 A specialized subsidiary formed by a financial leasing company shall generally be 100% held by the financial leasing company. If it needs to introduce any other investor under special circumstances, the shareholding ratio of the financial leasing company shall not be less than 51%. | | 第二十四条 金融租赁公司设立专业子公司原则上应当100%控股，有特殊情况需要引进其他投资者的，金融租赁公司的持股比例不得低于51%。 |
| The introduced investor shall, in principle, meet the conditions for principal capital contributors specified in Articles 10 through 13 of these Measures, be specialized in the specialized subsidiary's specific field of operation, have comparative advantages in such aspects as business development and leased property management, and be conducive to improving the specialized development capability and risk management level of the specialized subsidiary. | | 引进的投资者原则上应当符合本办法第十条至第十三条规定的主要出资人条件，熟悉专业子公司经营的特定领域，且在业务开拓、租赁物管理等方面具有比较优势，有助于提升专业子公司的专业化发展能力和风险管理水平。 |
| Article 25 A specialized subsidiary of a financial leasing company having any of the following modifications shall apply for approval or report it to the NFRA or its local office as required: | | 第二十五条 金融租赁公司专业子公司有下列变更事项之一的，应当按规定向国家金融监督管理总局或其派出机构申请批准或报告： |
| (1) Change of its name. | | （一）变更名称； |
| (2) Change of its registered capital. | | （二）变更注册资本； |
| (3) Change of equity or adjustment of equity structure. | | （三）变更股权或调整股权结构； |
| (4) Amendments to its bylaws. | | （四）修改公司章程； |
| (5) Replacement of any director or officer. | | （五）变更董事、高级管理人员； |
| (6) Other matters specified by the NFRA. | | （六）国家金融监督管理总局规定的其他事项。 |
| Article 26 An office qualification approval system shall be implemented for the directors and officers of specialized subsidiaries. | | 第二十六条 专业子公司董事和高级管理人员实行任职资格核准制度。 |
| Article 27 A financial leasing company may, within its business scope, authorize the business scope of its specialized subsidiary according to the principle of prudence, report it to the provincial NFRA office at the place where the financial leasing company is located within ten working days after such authorization, and send a copy to the provincial NFRA office at the place where the domestic specialized subsidiary is located. | | 第二十七条 金融租赁公司可以在其业务范围内，根据审慎原则对所设立专业子公司的业务范围进行授权，并在授权后十个工作日内向金融租赁公司所在地的国家金融监督管理总局省级派出机构报告，抄报境内专业子公司所在地的国家金融监督管理总局省级派出机构。 |
