香港惠裕有限公司对南通市中级人民法院执行异议案

 一、基本案情
 申请执行人:通州市机电设备总公司、通州市物资集团总公司、通州市外资企业物资公司、通州市化工轻工公司。
 被执行人:闵平波、香港三江(国际)企业有限公司、深圳联江国际贸易公司、海南省航空实业公司、海口通海实业公司。
 案外人:香港惠裕有限公司(以下简称惠裕公司)。
 上述原告诉上述被告借款合同纠纷案7件,经南通市中级人民法院审理终结,分别作出7份民事判决书;判决主债务人闵平波、香港(三江)国际企业有限公司返还上述原告本金、利息等合计人民币4324万余元,其他三被告承担连带责任。案件进入执行程序后,南通市中级人民法院遂裁定将诉讼保全查封的闵平波“所有”的31套房产(上海金浦花园31套预售商品房)按照评估价格抵偿给申请执行人。
 对此,案外人惠裕公司提出异议:金浦花园31套预售商品房是惠裕公司所有的财产,与被执行人闵平波无关,南通市中级人民法院的保全查封及执行裁定错误,侵害了案外人的合法权益。
 二、审查认定的事实
 经审查查明,1993年11月18日,闵平波与上海金马新城房地产有限公司(以下简称金马公司)签订房屋预售合同,购买金浦花园31套商品房,闵平波支付了购房定金及预付款合计港币3058.62万元。1994年9月27日,闵平波与金马公司签订终止协议,出具抛弃权益书,将预购的金浦花园31套商品房转到新买方惠裕公司名下,金马公司退回闵平波预购房款402万元港币,其余2656万元港币转到惠裕公司名下作为定金及部分购房款。同时,惠裕公司与光大财务投资公司签订3000万元港币贷款协议;与金马公司签订金浦花园31份外销商品房出售合同,约定购房款总计为4501万元港币,并经公证机关公证。此后,惠裕公司通过其代理律师行将购房余款1845万元港币付给金马公司,金马公司向惠裕公司发放了《售楼证明书》。1996年,因金马公司未按合同约定办理房产证、土地证,惠裕公司向上海市第一中级人民法院起诉,经判决确认金马公司违约后,金马公司向惠裕公司交付了上述31套商品房的房屋所有权证。
