Measures for Implementing the Several Provisions on Encouraging Transnational Companies to Establish Regional Headquarters in Beijing
These Measures are formulated to implement the Several Provisions on Encouraging Transnational Companies to Establish Regional Headquarters in Beijing (No.15 [2009] of the Municipal People's Government of Beijing, hereinafter referred to as “Several Provisions”).

经市政府同意，现将《关于鼓励跨国公司在京设立地区总部的若干规定实施办法》印发给你们，请认真贯彻执行。

关于鼓励跨国公司在京设立地区总部的若干规定实施办法
为落实北京市《关于鼓励跨国公司在京设立地区总部的若干规定》（京政发〔2009〕15号，简称《若干规定》），制定本实施办法。

I. Recognition of Regional Headquarters
| | 一、地区总部的认定
|
(I) A company which meets either of the following conditions may be recognized as a regional headquarter upon application:
| | （一）符合下列条件之一，可申请认定为地区总部：
|
1. a foreign-funded investment company established upon approval; or
| | 1.经批准设立的外商投资性公司。
|
2. a foreign-funded investment management company which meets the following requirements:
| | 2.具备以下条件的外商投资管理性公司
（1）母公司的资产总额不低于4亿美元；
（2）母公司在中国累计实缴注册资本总额不低于1000万美元，且在中国境内外投资或者授权管理的企业不少于3个；或者在中国境内外投资或者授权管理的企业不少于6个；
（3）管理性公司注册资本不低于200万美元；
（4）是母公司在中国境内唯一的最高经营管理机构；
（5）对国际知名跨国公司，可适当放宽条件。
投资性公司，是指跨国公司按照商务部发布的《关于外商投资举办投资性公司的规定》设立的从事直接投资的公司。
管理性公司，是指为母公司所投资的企业和关联企业提供管理、决策、研发、资金管理、物流、销售、策划、咨询、培训等相关服务的企业法人。

(1) the total assets of its parent company are USD 400 million or more;
| | （二）市商务委负责在京跨国公司地区总部的认定，应在企业提交的材料齐全有效之日起10个工作日内完成审查，做出准予或不予认定的决定，对准予认定的企业颁发确认证书。
|
(2) its parent company's total paid-in registered capital in China is USD 10 million or more cumulatively and its parent company has funded or been authorized to manage at least three enterprises inside and outside China; or its parent company has funded or been authorized to manage at least six enterprises inside and outside China;
| | （三）申请认定地区总部，需向市商务委提交以下材料：
|
(3) its registered capital is USD 2 million or more;
| | 1.承担地区总部职能的企业法定代表人签署的申请书；
|
(4) it is its parent company's only supreme business management body in China; and
| | 2.母公司法定代表人签署的设立地区总部及履行基本职能的授权文件；
|
(5) for a world famous transnational company, the requirements may be relaxed properly.
An investment company refers to a company engaging in direct investment, which is established by a transnational company according to the Provisions of the Ministry of Commerce on the Establishment of Investment Companies by Foreign Investors.
A management company refers to an incorporated enterprise providing management, decision-making, research and development, capital management, logistics, sales, planning, consulting, training and other relevant services for enterprises in which its parent company invests and affiliated enterprises.
| | 3.母公司法定代表人签署的对拟任地区总部法定代表人的授权文件和拟担任地区总部法定代表人的简历及相应的身份证明文件（身份证明文件为复印件）；
|
(II) The Municipal Commission of Commerce responsible for the recognition of transnational companies' regional headquarters in Beijing shall, within 10 workdays from the date when the application materials of an enterprise are valid and complete, finish examination of the application, make a decision on approval or disproval, and in the case of approval, issue a certificate to the applicant.
| | 4.母公司的资信证明文件、注册登记文件（复印件）及法定代表人证明文件（复印件），依法审计的近3年的资产负债表；
|
(III) To apply for recognition as regional headquarters, an applicant shall submit the following materials to the Municipal Commission of Commerce:
| | 5.母公司在中国境内投资企业的批准证书、营业执照及验资报告（复印件）；
|
1. a written application signed by the legal representative of the enterprise which performs the functions of regional headquarters;
| | 6.承担地区总部职能的企业批准证书、营业执照及验资报告（复印件）；
|
2. authorization documents signed by the legal representative of the parent company on the establishment of regional headquarters and performance of basic functions;
| | 7.其他必要证明材料。
以上规定除注明为复印件外，其他材料应当提交文件的正本。

3. authorization documents signed by the legal representative of the parent company on the prospective legal representative of the regional headquarters, and a resume and a photocopy of identity certificate of the prospective legal representative of the regional headquarters;
