The Measures for the Registration of a Pledge of Patent Rights, which have been deliberated and adopted at the executive meeting of the State Intellectual Property Office, are hereby promulgated, and shall come into force on October 1, 2010.

Article 1 To enhance the application of patent rights and the accommodation of funds, guarantee the realization of creditor's rights and regulate the registration of a pledge of patent rights, these Measures are formulated pursuant to the Real Right Law of the People's Republic of China, the Guarantee Law of the People's Republic of China, the Patent Law of the People's Republic of China and other relevant provisions.
| | 第一条 为了促进专利权的运用和资金融通，保障债权的实现，规范专利权质押登记，根据《中华人民共和国物权法》、《中华人民共和国担保法》、《中华人民共和国专利法》及有关规定，制定本办法。

Article 2 The State Intellectual Property Office is responsible for the registration of the pledge of patent rights.
| | 第二条 国家知识产权局负责专利权质押登记工作。

Article 3 The pledger and the pledgee of a patent right shall enter into a written pledge contract.
A pledge contract could be a separately concluded contract or a pledge clause of the master contract.
| | 第三条 以专利权出质的，出质人与质权人应当订立书面质押合同。
质押合同可以是单独订立的合同，也可以是主合同中的担保条款。

Article 4 The pledge of a jointly owned patent right must be based on the consent of other co-owners, unless it is otherwise agreed upon by all co-owners.
| | 第四条 以共有的专利权出质的，除全体共有人另有约定的以外，应当取得其他共有人的同意。

Article 5 To pledge a patent right, a foreigner, a foreign enterprise or any other foreign organization that has no habitual residence or business office in China is required to authorize a legally formed patent agency to handle the registration formalities.
To pledge a patent right, a Chinese entity or individual has the option to authorize a legally formed patent agency to handle the registration formalities.
| | 第五条 在中国没有经常居所或者营业所的外国人、外国企业或者外国其他组织办理专利权质押登记手续的，应当委托依法设立的专利代理机构办理。
中国单位或者个人办理专利权质押登记手续的，可以委托依法设立的专利代理机构办理。

Article 6 The parties concerned may mail or directly submit the relevant documents to handle the registration formalities for a pledge of patent right.
| | 第六条 当事人可以通过邮寄、直接送交等方式办理专利权质押登记相关手续。

Article 7 To apply for the registration of a pledge of patent right, the parties concerned shall submit to the State Intellectual Property Office:
| | 第七条 申请专利权质押登记的，当事人应当向国家知识产权局提交下列文件：
|
1. An Application Form for the Registration of a Pledge of Patent Right which has been affixed with the signature or seal of both the pledger and the pledgee;
| | （一）出质人和质权人共同签字或者盖章的专利权质押登记申请表；
|
2. A patent right pledge contract;
| | （二）专利权质押合同；
|
3. The identity certificates of both parties;
| | （三）双方当事人的身份证明；
|
4. A power of attorney which indicates the specific scope of authority, if it involves any patent agency; and
| | （四）委托代理的，注明委托权限的委托书；
|
5. Other documents as required.
If the patent right has been assessed, an asset assessment report is also required.
Except for identity certificates, all other documents submitted by the parties concerned must be in Chinese. If any identity certificate is in a foreign language, the parties concerned shall attach it with a Chinese version, or it shall be deemed as a failure to submit.
For documents mentioned in Paragraphs 1 and 2 of this Article, the parties concerned may submit the electronic scanning copies thereof.
| | （五）其他需要提供的材料。
专利权经过资产评估的，当事人还应当提交资产评估报告。
除身份证明外，当事人提交的其他各种文件应当使用中文。身份证明是外文的，当事人应当附送中文译文；未附送的，视为未提交。
对于本条第一款和第二款规定的文件，当事人可以提交电子扫描件。

Article 8 The State Intellectual Property Office shall notify the applicants after receiving the application documents for the registration of a pledge of patent right.
