最高人民法院关于对中海发展股份有限公司货轮公司申请承认伦敦仲裁裁决一案的请示报告的答复

湖北省高级人民法院：

　　你院[2008]鄂民四他字第1号《关于对中海发展股份有限公司货轮公司申请承认伦敦仲裁裁决一案的请示报告》收悉。经研究，答复如下：

　　中海发展股份有限公司货轮公司与安徽省技术进出口股份有限公司签订的租船协议已明确约定“在香港仲裁，适用英国法”，故该条应确认为本案的仲裁条款。

　　上述仲裁条款应理解为仲裁地在香港，适用英国法作为解决租船合同实体争议的准据法，而关于仲裁条款的准据法并未约定，故本案仲裁条款的准据法应适用仲裁地香港的《仲裁条例》及其指向适用的《联合国国际贸易法委员会国际商事仲裁示范法》（UNCITRAL MODEL LAW ON INTERNATIONAL COMMERCIALARBITRATION，以下简称《示范法》）。本案双方当事人在租船协议中以书面形式约定将争议提交仲裁，符合《仲裁条例》及《示范法》的规定，其仲裁条款合法有效。
