The Regulatory Measures for the Registration of Enterprises in Zhongguancun Science and Technology Park was approved at the 32nd executive meeting of the People's Government on Feb 13, 2001 and is now promulgated. It shall take effect as of the day of promulgation.

Chapter 1 General Provisions
               第一章 总则
Article 1 In order to implement the Regulations of Zhongguancun Science and Technology Park (hereinafter referred to as the Regulations for short) and regulate the registration of enterprises in Zhongguancun Science and Technology Park (hereinafter as “ZSTP” for short), these Measures have been formulated according to relevant provisions of the Regulations.
  第一条 为了贯彻实施《中关村科技园区条例》(以下简称《条例》),规范中关村科技园区内的企业登记注册工作,根据《条例》的有关规定,制定本办法。
Article 2 These Measures shall apply to the registration of all enterprises in the ZSTP.
  第二条 凡中关村科技园区内的企业登记注册,均适用本办法。
Article 3 In accordance with the requirements of the development of market economy, industry and commerce administrations shall establish an appraisal system of enterprise credit based on information of enterprise registration and of supervision and administration.
  第三条 工商行政管理机关应当根据市场经济发展的要求,以企业登记以及监督管理信息为基础,建立企业信用评价体系。
Chapter 2 Examination and Ratification of the Business Scope of Enterprises
            第二章 企业经营范围的核定
Article 4 Except those businesses that need special examination and approval prescribed in laws and regulations, industry and commerce administrations will no longer examine and verify specific businesses when handling enterprise registration. Enterprises may choose businesses independently and conduct business.
  第四条 除国家法律、法规规定应当进行专项审批的经营项目外,工商行政管理机关在办理企业登记时,不再审核具体经营项目,企业可以自主选择经营项目,开展经营活动。
Article 5 Where the business scope of an enterprise is subject to the pre-examination and approval of the People's Government of the Municipality, the industry and commerce administrations shall notify relevant administrative authorities within 2 workdays since the day on which the application for registration is accepted; relevant administrative authorities shall decide whether or not to approve within 3 workdays since the day on which the notification is received, and shall reply to the industry and commerce administrations; it shall be deemed as approval has been granted if no reply is made when the time limit expires.
Where the businesses of an enterprise have already been approved by relevant administrative authorities, industry and commerce administrations shall ratify the registration according to law and indicate the specific businesses in the Business License issued.
  第五条 企业经营范围属于市人民政府公布的需要进行前置审批的项目,工商行政管理机关应当自受理登记申请之日起2个工作日内告知有关行政主管部门;有关行政主管部门应当自接到告知之日起3个工作日内作出批准或者不予批准的决定,并回复工商行政管理机关;逾期未回复的,视为批准。
对已经有关行政主管部门批准的,工商行政管理机关依法核准登记注册,并在核发的《营业执照》中注明具体经营项目。
Article 6 If the business scope of an enterprise is not subject to the pre-examination and approval of the municipal People's Government, but is subject to the special examination and approval as provided in laws and regulations, the applicant shall apply for registration directly to the industry and commerce administrations; the industry and commerce administrations shall indicate the businesses in the Business License after ratification; the enterprise shall go through the procedure of examination and approval with relevant administrative authorities within 3 months after obtaining the Business License and may not start business operation until approval has been obtained.
Relevant administrative authorities shall decide whether or not to approve within 3 workdays since the day of acceptance.
  第六条 企业经营范围不属于市人民政府公布的前置审批项目,且法律、法规规定需要进行专项审批的,申请人可以直接到工商行政管理机关申请登记注册;工商行政管理机关核准后,在核发的《营业执照》中注明经营项目;企业自领取《营业执照》之日起3个月内到有关行政主管部门办理审批手续,在获得批准后方可开展经营活动。
有关行政主管部门应当自受理之日起3个工作日内作出批准或者不予批准的决定。
Article 7 Where an enterprise applies to engage in any of the businesses that are not included in Articles 5 and 6, the industry and commerce administrations shall go through the registration directly, and need not indicate specific businesses in the Business Licenses issued.
  第七条 申请经营属于本办法第五条和第六条规定以外项目的,工商行政管理机关直接予以登记注册,在核发的《营业执照》中可以不表述具体经营项目。
Article 8 Where any enterprise applies for registration of establishment or of changes, the industry and commerce administrations shall indicate the following contents in the column “business scope” of the Business License: “Business operators may not engage in any business that are forbidden by laws and regulations; may not engage in any business that need prior examination and approval until such approval has been obtained; if laws and regulations haven't prescribed that examination and approval are needed, enterprises may choose businesses independently and conduct business accordingly.”
  第八条 申请企业设立、变更登记的,工商行政管理机关均应当在《营业执照》“经营范围”栏内注明下列内容:“法律、法规禁止的,不得经营;应经审批的,未获审批前不得经营;法律、法规未规定审批的,企业自主选择经营项目,开展经营活动”。
Article 9 Enterprises shall give clear indication of the following contents in their articles of association or in partnership agreements:“This enterprise will conduct business activities according to law and will not engage in any business that are forbidden by laws or regulations; will not engage in any business that is not subject to prior examination and approval but to special examination and approval according to the provisions of laws and regulations until it has been registered at the administration for industry and commerce and has passed the special examination and approval. With regard to those businesses that are not subject to pre-examination and approval but are subject to special examination and approval as provided in laws and regulations, this enterprise will not engage in such businesses until being registered by the departments of industry and commerce administration and being approved by examining and approving departments; with regard to other businesses, this enterprise will choose and conduct business independently after obtaining the Business License.” Individual enterprises shall make written promises of the above contents when applying for registration.
  第九条 企业应当在章程或者合伙协议中明确表述下列内容:“本企业依法开展经营活动,法律、法规禁止的,不经营;需要前置审批的经营项目,报审批机关批准,并经工商行政管理机关核准注册后,方开展经营活动;不属于前置审批项目,法律、法规规定需要专项审批的,经工商行政管理机关登记注册,并经审批机关批准后,方开展经营活动;其他经营项目,本企业领取《营业执照》后自主选择经营,开展经营活动。”个人独资企业应当在申请登记注册时,对上述内容作出书面承诺。
Article 10. The industry and commerce administrations shall provide the Catalog of Businesses Subject to Prior Examination and Approval and Businesses Subject to Subsequent Examination and Approval to applicants; legal representatives, executive partners of partnership enterprises and investors of individual enterprises shall make written promises of relevant contents of the first clause of Article 9, and shall submit the Letters of Promises to the industry and commerce administrations when applying for registration.
  第十条 工商行政管理机关应当向申请人发放《前置审批项目、后置审批项目目录表》;法定代表人、合伙企业事务执行人、个人独资企业的投资人应当对本办法第九条第一款中的有关内容作出书面承诺,并在申请登记注册时,向工商行政管理机关提交该《承诺书》。
Article 11. If the applicant asks for the industry and commerce administrations to examine and ratify specific businesses when applying for registration, the industry and commerce administrations shall accept the request, and indicate in the Business License after examining and ratifying according to relevant provisions.
  第十一条 申请人在登记注册时,请求工商行政管理机关核定具体经营项目的,工商行政管理机关应当受理,并按照有关规定予以核定后在《营业执照》上注明。
Article 12 When enterprises apply for the registration of changes or of establishment of branches, the industry and commerce administrations may, according to the application of the enterprises and to the provisions of this chapter, examine and ratify the business scopes of the enterprises and of their branches.
If an enterprise has not specified the businesses to be engaged in when establishing branches, the industry and commerce administrations will not examine and ratify specific businesses of its branches either.
  第十二条 企业申请变更登记以及企业设立分支机构时,工商行政管理机关可以依据企业的申请,按照本章的规定核定企业及其分支机构的经营范围。
企业设立分支机构时,企业没有具体经营项目的,工商行政管理机关亦不予核定分支机构的具体经营项目。
Chapter 3 Investing with High and New-Tech Achievements
            第三章 以高新技术成果出资
Article 13 With regard to corporations and cooperative equity enterprises established with the investment of high and new-tech achievements, the proportion that the high and new-tech achievements account for in the registered capital and in the stock equity shall not be limited, and shall be agreed upon by the investors in the articles of association of the enterprises.
High and new-tech achievements invested in the registered capital of an enterprise shall be evaluated by legal evaluation institutions.
  第十三条 以高新技术成果出资设立公司和股份合作企业的,对其高新技术成果出资所占注册资本(金)和股权的比例不作限制,由出资人在企业章程中约定。
企业注册资本(金)中以高新技术成果出资的,对高新技术成果应当经法定评估机构评估。
Article 14 When investing with high and new-tech achievements, the investors shall produce specifications of the high and new-tech achievements; the high and new-tech achievements shall be confirmed unanimously by all investors of the enterprise and shall be indicated in the articles of association. High and new-tech achievements confirmed by all investors may be registered as registered capital.
  第十四条 出资人以高新技术成果出资,应当出具高新技术成果说明书;该项高新技术成果应当由企业的全体出资人一致确认,并应当在章程中写明。经全体出资人确认的高新技术成果可以作为注册资本(金)登记注册。
Article 15 Where the high and new-tech achievements are evaluated for investment, the industry and commerce administrations shall indicate, in the last item of the column "business scope" in the Business License, the value of the non-monetary investments of technology achievements, the proportion the technology achievements account for in the registered capital and whether the technology achievements have gone through the procedures of property transfer. Where “procedures of property transfer yet to be gone through” is indicated in the Business License, the industry and commerce administrations shall delete the indication according to the application of the enterprise after the high and new-tech achievement is transferred to the enterprise.
If the investment of high and new-tech achievements involves state-owned property, approval of the state-owned property administrations or of the departments with authorization shall be obtained.
  第十五条 工商行政管理机关对以高新技术成果作价出资的,应当在《营业执照》“经营范围”栏的最后项下注明作为非货币出资的技术成果的价值金额、占注册资本的比例以及是否办理了财产转移手续的情况。对注明未办理财产转移手续的,待该项高新技术成果转移至企业后,工商行政管理机关应当根据企业的申请,删去《营业执照》上注明的“未办财产转移手续”字样。
申请人以高新技术成果出资,涉及国有资产的,应当经国有资产管理部门或者其授权的部门批准。
Chapter 4 Venture Capital Institutions
             第四章 风险投资机构
Article 16 Venture capital institutions may be registered as joint-stock limited companies, limited liability companies or as limited partnership. Venture capital institutions in other forms shall abide by relevant provisions. To apply for the establishment of venture capital institutions in the form of joint-stock limited company, the applicants shall go through registration with the municipal industry and commerce administration after obtaining the approval of the municipal People's Government. To apply for the establishment of venture capital institutions in the form of a limited-liability company or a limited partnership, the applicants shall go through registration directly with the municipal administration for industry and commerce.
  第十六条 设立风险投资机构,可以登记注册为股份有限责任公司、有限责任公司或者有限合伙。其它组织形式的风险投资机构从其有关规定。申请设立股份有限公司的风险投资机构,经市人民政府批准后到市工商行政管理局办理登记注册。设立有限责任公司和有限合伙形式的风险投资机构,直接到市工商行政管理局办理登记注册。
Article 17 The Regulatory Measures for the Registration of Partnership Enterprises of the People's Republic of China shall be referred to in the registration of limited partnership.
Where a limited partnership has been approved to register, the industry and commerce administrations shall indicate “limited partnership” in its Business License.
  第十七条 有限合伙的登记注册,参照《中华人民共和国合伙企业登记管理办法》办理。
有限合伙经核准登记的,工商行政管理机关应当在其《营业执照》上注明“有限合伙”字样。
Article 18 The total investment of investors bearing limited liability of a venture capital institution shall be not less than RMB 10,000,000. All of the registered capital (investment) of a venture capital institution shall be monetary capital.

  第十八条 风险投资机构中负有限责任的出资人,共同出资之和应当不少于1000万元人民币。
