Interim Measures of Gansu Province for the Administration of Examination and Approval of Overseas Investment Projects

Article 1 These Measures are formulated according to the relevant provisions of the State for the purpose of regulating the administration of examination and approval of overseas investment projects of our province.
| | 第一条 为了规范对本省境外投资项目的核准管理，根据国家有关规定，制定本办法。

Article 2 These Measures shall be applicable to the examination and approval of overseas projects (including new establishments, mergers, purchases of stocks, capital increases and reinvestments) invested by all kinds of artificial persons within this Province (hereinafter referred to as "investors") through their holding enterprises or institutions outside of the territory of the People's Republic of China.
These Measures shall also be applicable to the examination and approval of the investors' projects in the Hong Kong and Macao Special Administrative Regions and in Taiwan Region.
| | 第二条 本省行政区域内各类法人（以下称“投资主体”）直接或通过其在境外控股的企业、机构在境外投资项目（含新建、购并、参股、增资、再投资）的核准，适用本办法。
投资主体在香港特别行政区、澳门特别行政区和台湾地区投资项目的核准，亦适用本办法。

Article 3 The "overseas investment projects" as mentioned in these Measures refers to those activities wherein the investors obtain overseas ownership, right to operation and management, and other related rights and interests by providing money, negotiable instruments, physical objects, intellectual property, technologies, stock rights or creditor's rights or by offering guaranty.
| | 第三条 本办法所称境外投资项目指投资主体通过投入货币、有价证券、实物、知识产权、技术、股权、债权或提供担保等方式，获得境外所有权、经营管理权及其他相关权益的活动。

Article 4 As to a resource development project with the Chinese investment amount of US $30 million or more or a project wherein the Chinese party's use of foreign exchange is US $10 million or more, the investor shall submit an application report on the project to the Development and Reform Commission of Gansu Province, which shall report it to the National Development and Reform Commission for examination and approval upon its preliminary examination and approval.
The Development and Reform Commission of Gansu Province shall be responsible for examining and approving the resource development projects wherein the Chinese party's investment amount is less than US $30 million and other projects wherein the Chinese party's use of foreign exchanges is less than US $10 million, and shall send a copy of approval documents to the National Development and Reform Commission.
The “resource development projects” refers to the projects invested overseas to explore and exploit such resources as crude oil and mines.
Other projects using foreign exchanges refer to those overseas investment projects in the fields other than those as listed in the preceding Paragraph that use foreign exchanges as investment by the Chinese party.
| | 第四条 中方投资额3000万美元及以上的资源开发类和中方投资用汇额1000万美元及以上的大额用汇类项目，由投资主体向省发展改革部门提出项目申请报告，经省发展改革部门初步审核后报国家发展改革部门核准。
省发展改革部门负责对甘肃省境外投资3000万美元以下的资源开发类和用汇额1000万美元以下其他用汇类项目进行核准，并将核准文件抄报国家发展改革部门。
资源开发类项目指在境外投资勘探开发原油、矿山等资源的项目。
其他用汇类项目指在前款所列领域之外中方投资用汇的境外投资项目。

Article 5 Where an enterprise directly under the Central Government within the territory of Gansu Province intends to invest in an overseas resources development project wherein the Chinese party's investment is less than US $30 million, or any other overseas investment project wherein the Chinese party's use of foreign exchanges is less than US $10 million, it shall make a decision on its own initiative and submit the relevant documents to the National Development and Reform Commission for archival filing, and simultaneously send a copy of pertinent documents to the Development and Reform Commission of Gansu Province.
| | 第五条 在甘中央管理企业投资的中方投资额3000万美元以下的资源开发类境外投资项目和中方投资用汇额1000万美元以下的其他境外投资项目，由其自主决策并将相关文件报国家发展改革部门备案，同时抄送省发展改革部门。

Article 6 The projects to be invested in Taiwan Region or any country without diplomatic relations with China shall, disregard of the amount of investment, be reported by the Development and Reform Commission of Gansu Province to the National Development and Reform Commission for examination and approval.
| | 第六条 前往台湾地区投资的项目和前往未建交国家投资的项目，不分限额，由省发展改革部门报国家发展改革部门核准。

Article 7 An application report on the project to be submitted to the Development and Reform Commission of Gansu Province shall include the following contents:
| | 第七条 报送省发展改革部门的项目申请报告应包括以下内容：
|
(1)the name of the project and the basic information of the investor;
| | （一）项目名称、投资方基本情况；
|
(2)the background information about the project and the information about the investment environment;
| | （二）项目背景情况及投资环境情况；
|
(3)the construction scale of the project, main construction projects, products, the target market, returns of the project and the risk situation;
| | （三）项目建设规模、主要建设内容、产品、目标市场，以及项目效益、风险情况；
|
(4)the total investment of the project, the contribution of each party, the mode of contribution, the financing scheme and the amount of foreign exchanges to be used; and
| | （四）项目总投资、各方出资额、出资方式、融资方案及用汇金额；
|
(5)the specific conditions regarding the company to be merged or purchased in the case of a merger or stock purchase project.
| | （五）购并或参股项目，应说明拟购并或参股公司的具体情况。

Article 8 An application report on the project to be submitted to the Development and Reform Commission of Gansu Province shall be accompanied by:
