Notice of the Ministry of Finance on Relevant Issues concerning Transfer of Credit Assets in Package of Financial Asset Management Companies
(No. 12 [2005] of the Ministry of Finance; Date of Promulgation: February 2, 2005)
China Huarong Asset Management Corporation, China Great Wall Asset Management Corporation, China Orient Asset Management Corporation, China Cinda Asset Management Corporation, the fiscal supervision commissioner's offices dispatched by the Ministry of Finance in all provinces, autonomous regions, municipalities directly under the Central Government, and municipalities directly under State planning:
China Orient Asset Management Corporation reported that there were some operation difficulties in asking for opinions from the Ministry of Finance's fiscal supervision commissioner's offices at the localities of credits (hereinafter referred to as “commissioner's offices”) in the process of transfer of credit assets in package, and proposed relevant suggestions. Upon study, we hereby give our notice as follows regarding relevant requirements in order to regulate the ill asset disposal of financial asset management companies (hereinafter referred to as “asset companies”), effectively prevent risks and control losses, and meanwhile improve the work efficiency and quality:

中国华融资产管理公司，中国长城资产管理公司，中国东方资产管理公司，中国信达资产管理公司，财政部驻各省、自治区、直辖市、计划单列市财政监察专员办事处：
中国东方资产管理公司日前反映，对债权资产打包转让过程中征求财政部驻债权所在地财政监察专员办事处(以下简称“专员办”)意见的环节有一些操作困难，提出了相关建议。经研究，为规范金融资产管理公司(以下简称“资产公司”)不良资产处置操作，有效防范风险和控制损失，同时提高工作效率和质量，现将有关要求通知如下：

I.An asset company must, when transferring credit assets in package, strictly comply with the Notice of the Ministry of Finance on Printing and Distributing the Measures for the Administration of the Asset Disposal of Financial Asset Management Companies (Amended) (No. 41 [2004] of the Ministry of Finance), and fulfill the verification and archiving procedures for disposal of the assets in package within the scope of power of the amount transferred in package.
| | 一、资产公司在对债权资产进行打包转让时，必须严格执行《财政部关于印发＜金融资产管理公司资产处置管理办法(修订)＞的通知》(财金[2004]41号)的规定，按照打包转让金额的权限，履行打包资产处置的审核与备案程序。

II.The main contents of a program on transfer in package and the focuses for examination shall at least include the following:

(1) Principles. An asset company shall, when adopting the method of transfer in package, comply with the principle of being beneficial to accelerating the disposal, to decreasing costs, and with the principle of maximizing the return, instead of only seeking disposal speed and saving costs but ignoring losses.
