Chapter I General Provisions
| | 第一章 总则

Article 1 These Articles of Association are formulated by Shenzhen Arbitration Committee (hereinafter referred to as the Arbitration Committee) in accordance with Arbitration Law of the People's Republic of China with a view to standardizing the conducts of this Committee, ensuring the economic disputes to be arbitrated fairly and timely, protecting the lawful rights and interests of the parties concerned, and guaranteeing the healthy development of socialist market economy.
| | 第一条 深圳仲裁委员会（以下简称仲裁委员会）为了规范本会行为，保证公正、及时地仲裁经济纠纷，保护当事人的合法权益，保障社会主义市场经济健康发展，根据《中华人民共和国仲裁法》，制定本《章程》。

Article 2 The Arbitration Committee is a permanent arbitration institution established in accordance with the Arbitration Law of the People's Republic of China for arbitrating cases on contractual disputes between natural persons, legal persons and other organizations, which are of equal status, and cases on other disputes arising from property rights.
| | 第二条 仲裁委员会是根据《中华人民共和国仲裁法》成立的仲裁平等主体的自然人、法人和其他组织之间发生的合同纠纷和其他财产权益纠纷案件的常设仲裁机构。

Article 3 The Arbitration Committee shall be located in Shenzhen City.

Chapter II The Arbitration Committee

Article 4 The Arbitration Committee shall be composed of 15 members, including 1 chairman, 2 vice-chairmen and 12 members. The chairman and the vice-chairmen shall hold full-time posts in the Committee, while all the other members shall hold part-time posts. Among the 15 members of the Arbitration Committee, experts in law, economy and trade shall not be less than two-thirds.
The Arbitration Committee shall retain 1 honorary chairman and 2 senior advisors.
The name list of members of the Arbitration Committee shall be submitted to China Arbitration Association for record.
| | 第四条 仲裁委员会由１５名委员组成，其中主任１名、副主任２名和委员１２名。主任、副主任专职驻会，其他委员均为兼职。仲裁委员会组成人员中法律、经济贸易专家不少于三分之二。
仲裁委员会聘请名誉主任１名，高级顾问２名。
仲裁委员会委员名单报中国仲裁协会备案。

Article 5 Each term of office of the Arbitration Committee shall be 5 years, upon expiry of which one third of the members shall be changed.
The change of the next term of office of the Arbitration Committee shall be completed 2 months before the expiry of the last term of office of the Arbitration Committee; where the said change is unable to be completed due to any particular circumstance, it shall be completed within 3 months after the expiry of the said term of office.
The Arbitration Committee of the last term of office shall perform their duties until the Arbitration Committee of a new term of office has been composed.
| | 第五条 仲裁委员会每届任期５年。任期届满，更换三分之一委员。
仲裁委员会任期届满前２个月，完成下届仲裁委员会委员的更换；有特殊情况不能完成更换的，应当在任期届满后３个月内完成更换。
上一届仲裁委员会履行职责到新一届仲裁委员会组成为止。

Article 6 The members in the Arbitration Committee of a new term of office shall be nominated by the chairmen's meeting of the Arbitration Committee of the last term of office, and be submitted to the People's Government of Shenzhen City for approval before engagement.
| | 第六条 新一届仲裁委员会委员由上一届仲裁委员会主任会议提名，报深圳市人民政府批准聘任。

Article 7 The Arbitration Committee's meeting shall be presided by the chairman or a vice-chairman entrusted by the chairman. Such a meeting shall be convened at least once in each year, and may be convened at any time if necessary. Each meeting shall not be held unless two thirds of the members are present. Any amendment to the Articles of Association must be adopted by more than two thirds of all the members, while other resolutions must be adopted by more than two thirds of the members present at the meeting.
| | 第七条 仲裁委员会会议由主任或者主任委托的副主任主持。每年至少召开一次，如有需要，可随时召开。每次会议须有三分之二以上的委员出席，方能举行。修改《章程》须经全体委员的三分之二以上通过，其他决议须经出席会议委员的三分之二以上通过。

Article 8 The main duties of the Arbitration Committee's meeting are:
| | 第八条 仲裁委员会会议的主要职责是：
|
(1) to examine the major issues of the Arbitration Committee such as the work guideline and the work plans, and to make corresponding resolutions;
| | （一）审议仲裁委员会的工作方针、工作计划等重要事项，并做出相应的决议；
|
(2) to examine and adopt the annual work report made by the chairman of the Arbitration Committee;
| | （二）审议通过仲裁委员会主任提出的年度工作报告；
|
(3) to decide on the engagement, dismissal and removal of arbitrators;
| | （三）决定仲裁员的聘任、解聘和除名；
|
(4) to amend the Arbitration Committee's article of association;
| | （四）修改仲裁委员会章程；
|
(5) to formulate and amend the Arbitration Committee's Arbitration Rules;
| | （五）制定和修改仲裁委员会《仲裁规则》；
|
(6) other duties provided in the Arbitration Law, the Arbitration Rules and the Articles of Association.
| | （六）《仲裁法》、《仲裁规则》和《章程》规定的其他职责。

Article 9 The chairmen's meeting shall be composed of the chairman and the vice-chairmen of the Arbitration Committee, which shall be responsible for the routine of the Arbitration Committee when the Arbitration Committee's meeting is not in session. The main duties of the chairmen's meeting are:
