Announcement of the Supreme People's Court
The Rules of the Supreme People's Court on the Relevant Issues concerning the Application of Law in Hearing Foreign-Related Contractual Dispute Cases in Civil and Commercial Matters, which were adopted at the 1,429th Meeting of the Judicial Committee of the Supreme People's Court on June 11, 2007, are hereby issued, and shall be effective as of August 8, 2007.

Rules of the Supreme People's Court on the Relevant Issues concerning the Application of Law in Hearing Foreign-Related Contractual Dispute Cases in Civil and Commercial Matters
(Adopted at the 1,429th Meeting of the Judicial Committee of the Supreme People's Court on June 11, 2007, No.14 [2007], Judicial Interpretation of SPC)
In order to correctly hear foreign-related contractual dispute cases in civil and commercial matters and accurately apply the law, these Rules have been made in accordance with the General Principles of Civil Law of the People's Republic of China, the Contract Law of the People's Republic of China and other relevant provisions.

《最高人民法院关于审理涉外民事或商事合同纠纷案件法律适用若干问题的规定》已于2007年6月11日由最高人民法院审判委员会第1429次会议通过，现予公布，自2007年8月8日起施行。

最高人民法院关于审理涉外民事或商事合同纠纷案件法律适用若干问题的规定
（2007年6月11日最高人民法院审判委员会第1429次会议通过 法释〔2007〕14号）
为正确审理涉外民事或商事合同纠纷案件，准确适用法律，根据《中华人民共和国民法通则》、《中华人民共和国合同法》等有关规定，制定本规定。

Article 1 The law governing foreign-related contracts in civil and commercial matters shall refer to the substantive law in a relevant country or region, excluding the conflict law and procedural law.
| | 第一条 涉外民事或商事合同应适用的法律，是指有关国家或地区的实体法，不包括冲突法和程序法。

Article 2 The contractual disputes as mentioned in these Rules shall include the disputes over the conclusion, validity, performance, modification, assignment and termination of a contract, liability for a breach of contract, etc.
| | 第二条 本规定所称合同争议包括合同的订立、合同的效力、合同的履行、合同的变更和转让、合同的终止以及违约责任等争议。

Article 3 The parties shall choose a law or modify a choice of law governing a contractual dispute in an explicit manner.
| | 第三条 当事人选择或者变更选择合同争议应适用的法律，应当以明示的方式进行。

Article 4 The people's court shall permit the parties to choose a law or modify a choice of law governing a contractual dispute by agreement after consultation before the conclusion of argument presentation before court in the trial of the first instance.
Where the parties fail to choose a law governing a contractual dispute but both invoke the law of a same country or region and neither has raised any objection to the choice of law, the parties shall be deemed as having chosen a law governing the contractual dispute.
| | 第四条 当事人在一审法庭辩论终结前通过协商一致，选择或者变更选择合同争议应适用的法律的，人民法院应予准许。
当事人未选择合同争议应适用的法律，但均援引同一国家或者地区的法律且未提出法律适用异议的，应当视为当事人已经就合同争议应适用的法律作出选择。

Article 5 Where the parties fail to choose a law governing a contractual dispute, the law of the country or region having the most significant relationship with the contract shall be the governing law.
