| Chapter I General Provisions | | 第一章 總則 |
| Article 1 This Regulation is developed for the purposes of satisfying the requirements of China's opening up and economic development, strengthening and improving the supervision and administration of foreign-funded insurance companies, and promoting the sound development of the insurance industry. | | 第一條 為了適應對外開放和經濟發展的需要，加強和完善對外資保險公司的監督管理，促進保險業的健康發展，制定本條例。 |
| Article 2 For the purposes of this Regulation, “foreign-funded insurance companies” means the following insurance companies formed upon approval and operating within China in accordance with the relevant laws and administrative regulations of the People's Republic of China: | | 第二條 本條例所稱外資保險公司，是指依照中華人民共和國有關法律、行政法規的規定，經批准在中國境內設立和營業的下列保險公司： |
| (1) Insurance companies formed within China by foreign insurance companies and Chinese companies or enterprises in the form of equity joint ventures (hereinafter referred to as “equity joint venture insurance companies”). | | (一)外國保險公司同中國的公司、企業在中國境內合資經營的保險公司(以下簡稱合資保險公司)； |
| (2) Insurance companies formed within China by foreign insurance companies with foreign capital (hereinafter referred to as “wholly foreign-owned insurance companies”). | | (二)外國保險公司在中國境內投資經營的外國資本保險公司(以下簡稱獨資保險公司)； |
| (3) Branches within China of foreign insurance companies (hereinafter referred to as “branches of foreign insurance companies”). | | (三)外國保險公司在中國境內的分公司(以下簡稱外國保險公司分公司)。 |
| Article 3 Foreign-funded insurance companies must abide by the laws and regulations of China, and may not damage the public interest of China. | | 第三條 外資保險公司必須遵守中國法律、法規，不得損害中國的社會公共利益。 |
| The lawful operations and legal rights and interests of foreign-funded insurance companies shall be protected by the laws of China. | | 外資保險公司的正當業務活動和合法權益受中國法律保護。 |
| Article 4 The insurance regulatory authority of the State Council shall be responsible for the supervision and administration of foreign-funded insurance companies. The local offices of the insurance regulatory authority of the State Council shall, as authorized by the insurance regulatory authority of the State Council, conduct the routine supervision and administration of foreign-funded insurance companies within their respective jurisdictions. | | 第四條 國務院保險監督管理機構負責對外資保險公司實施監督管理。國務院保險監督管理機構的派出機構根據國務院保險監督管理機構的授權，對本轄區的外資保險公司進行日常監督管理。 |
| Chapter II Formation and Registration | | 第二章 設立與登記 |
| Article 5 The formation of a foreign-funded insurance company shall be subject to the approval of the insurance regulatory authority of the State Council. | | 第五條 設立外資保險公司，應當經國務院保險監督管理機構批准。 |
| The regions where foreign-funded insurance companies may be formed shall be determined by the insurance regulatory authority of the State Council according to the relevant provisions. | | 設立外資保險公司的地區，由國務院保險監督管理機構按照有關規定確定。 |
| Article 6 For the formation of foreign-funded insurance companies engaging in personal insurance and foreign-funded insurance companies engaging in property insurance, the form of business and the proportion of foreign investment shall be determined by the insurance regulatory authority of the State Council according to the relevant provisions. | | 第六條 設立經營人身保險業務的外資保險公司和經營財產保險業務的外資保險公司，其設立形式、外資比例由國務院保險監督管理機構按照有關規定確定。 |
| Article 7 The minimum registered capital of an equity joint venture insurance company or a wholly foreign-owned insurance company shall be 200 million yuan or an equivalent in freely convertible currencies, and must be paid-in monetary capital. | | 第七條 合資保險公司、獨資保險公司的注冊資本最低限額為2億元人民幣或者等值的自由兌換貨幣；其注冊資本最低限額必須為實繳貨幣資本。 |
| The head office of a foreign insurance company shall grant not less than 200 million yuan or an equivalent in freely convertible currencies to a branch of the foreign insurance company as working capital. | | 外國保險公司分公司應當由其總公司無償撥給不少于2億元人民幣或者等值的自由兌換貨幣的營運資金。 |
| The insurance regulatory authority of the State Council may, according to the scope and scale of business of a foreign-funded insurance company, raise the minimum amount of the registered capital or working capital of the foreign-funded insurance companies. | | 國務院保險監督管理機構根據外資保險公司業務範圍、經營規模，可以提高前兩款規定的外資保險公司注冊資本或者營運資金的最低限額。 |
| Article 8 To apply for the formation of a foreign-funded insurance company, a foreign insurance company shall meet the following conditions: | | 第八條 申請設立外資保險公司的外國保險公司，應當具備下列條件： |
| (1) Its total assets at the end of the year before its application for the formation is filed were not less than five billion U.S. dollars. | | (一)提出設立申請前1年年末總資產不少于50億美元； |
| (2) The country or region where it is located has a sound insurance regulation system, and it is under the effective regulation by the competent authorities of the country or region where it is located. | | (二)所在國家或者地區有完善的保險監管制度，並且該外國保險公司已經受到所在國家或者地區有關主管當局的有效監管； |
| (3) It satisfies the solvency standards of the country or region where it is located. | | (三)符合所在國家或者地區償付能力標准； |
| (4) Its application has been approved by the competent authorities of the country or region where it is located. | | (四)所在國家或者地區有關主管當局同意其申請； |
| (5) Other prudential conditions as set out by the insurance regulatory authority of the State Council. | | (五)國務院保險監督管理機構規定的其他審慎性條件。 |
| Article 9 To form a foreign-funded insurance company, the applicant shall file a written application with the insurance regulatory authority of the State Council, and submit the following materials: | | 第九條 設立外資保險公司，申請人應當向國務院保險監督管理機構提出書面申請，並提交下列資料： |
| (1) A written application signed by the legal representative of the applicant, or if an equity joint venture insurance company is to be formed, a written application signed by the legal representatives of all the parties to the equity joint venture. | | (一)申請人法定代表人簽署的申請書，其中設立合資保險公司的，申請書由合資各方法定代表人共同簽署； |
| (2) The business license (duplicate) of a foreign applicant, a certificate on its satisfaction of the solvency standards, and an opinion on its application issued by the competent authorities of the country or region where the foreign applicant is located. | | (二)外國申請人所在國家或者地區有關主管當局核發的營業執照(副本)、對其符合償付能力標准的證明及對其申請的意見書； |
| (3) The bylaws of a foreign applicant and its annual reports for the last three years. | | (三)外國申請人的公司章程、最近3年的年報； |
| (4) Materials on a Chinese applicant if an equity joint venture insurance company is to be formed. | | (四)設立合資保險公司的，中國申請人的有關資料； |
| (5) A feasibility study report and a formation preparation plan for the company to be formed. | | (五)擬設公司的可行性研究報告及籌建方案； |
| (6) The names, resumes, and certificates of satisfaction of office qualifications of the persons in charge of the preparations for the formation of the company. | | (六)擬設公司的籌建負責人員名單、簡曆和任職資格證明； |
| (7) Other materials as set out by the insurance regulatory authority of the State Council. | | (七)國務院保險監督管理機構規定提供的其他資料。 |
| Article 10 The insurance regulatory authority of the State Council shall conduct a preliminary examination of an application for forming a foreign-funded insurance company, and within six months of receipt of complete application documents, decide whether to accept or reject the application. If it decides to accept the application, it shall issue a formal application form to the applicant; otherwise, it shall inform the applicant in writing of its rejection with an explanation of the reasons for the rejection. | | 第十條 國務院保險監督管理機構應當對設立外資保險公司的申請進行初步審查，自收到完整的申請文件之日起6個月內作出受理或者不受理的決定。決定受理的，發給正式申請表；決定不受理的，應當書面通知申請人並說明理由。 |
| Article 11 The applicant shall complete the formation preparations within one year of receipt of the formal application form; and the period may be extended by three months with the approval of the insurance regulatory authority of the State Council if the formation preparations are not completed within the period for a good reason. If it still fails to complete the formation preparations within the extension, the decision of the insurance regulatory authority of the State Council to accept the application shall be invalidated automatically. After the completion of the formation preparations, the applicant shall submit the completed application form, along with the following documents, to the insurance regulatory authority of the State Council for approval: | | 第十一條 申請人應當自接到正式申請表之日起1年內完成籌建工作；在規定的期限內未完成籌建工作，有正當理由的，經國務院保險監督管理機構批准，可以延長3個月。在延長期內仍未完成籌建工作的，國務院保險監督管理機構作出的受理決定自動失效。籌建工作完成後，申請人應當將填寫好的申請表連同下列文件報國務院保險監督管理機構審批： |
| (1) A report on formation preparations. | | (一)籌建報告； |
| (2) The bylaws of the company to be formed. | | (二)擬設公司的章程； |
| (3) The investors of and their amounts of contribution to the company to be formed. | | (三)擬設公司的出資人及其出資額； |
| (4) A certification of capital verification issued by a statutory capital verification institution. | | (四)法定驗資機構出具的驗資證明； |
| (5) A power of attorney issued to the primary person in charge of the company to be formed. | | (五)對擬任該公司主要負責人的授權書； |
