| Law Enforcement Guidelines for the Fee-charging Acts of Commercial Banks | | 商业银行收费行为执法指南 |
| I. For the purpose of these Guidelines, fee charges are conventionally known between commercial banks and their clients, and the actual meaning thereof shall be consistent with that of service prices under the Administrative Measures for the Service Prices of Commercial Banks, meaning the fees charged by commercial banks for providing services. Fees may be charged before, during or after the service period. | | 一、本指南所称收费,是商业银行与客户约定俗成的叫法,实际含义与《商业银行服务价格管理办法》所称服务价格一致,是指商业银行提供服务时收取的费用。收费行为可能发生在服务期开始前,服务期过程中或者服务期结束后。 |
| For the purpose of these Guidelines, clients shall refer to natural persons, legal persons and other organizations that accept services provided by commercial banks. | | 本指南所称客户,是指接受商业银行服务的自然人、法人和其他组织。 |
| For the purpose of these Guidelines, law enforcement agencies shall refer to competent price departments of the people's governments at and above the county level. | | 本指南所称执法机构,是指县级以上人民政府价格主管部门。 |
| II. These Guidelines are formulated pursuant to the Price Law of the People's Republic of China, the Provisions on Administrative Punishments Against Price-related Illegalities and other relevant laws and regulations, relevant provisions of the CPC Central Committee and the State Council on rectifying the practices of arbitrary fee-charging, relevant policies on leveraging the financial industry to serve the real economy and easing the difficulties of obtaining financing or obtaining affordable financing (the list of policy documents is attached hereto), and the law enforcement practices of regulating the fee-charging acts of commercial banks. | | 二、本指南根据《中华人民共和国价格法》、《价格违法行为行政处罚规定》等法律法规、党中央国务院治理乱收费的相关规定、金融服务实体经济和缓解融资难融资贵的相关政策(文件目录附后)以及规范商业银行收费行为的执法实践制定。 |
| III. These Guidelines shall apply where commercial banks charge fees within the territory of the People's Republic of China. Competent price departments at all levels shall refer to these Guidelines when inspecting the fee-charging acts of commercial banks. | | 三、在中华人民共和国境内发生的商业银行收费行为,适用本指南。各级价格主管部门开展商业银行收费检查时,应当参考本指南。 |
| IV. These Guidelines do not expand the framework of existing laws and regulations, do not interfere with the rights of business operators to determine prices independently, and do not impose additional obligations and burdens on business operators. The purposes of these Guidelines are to regulate price-related administrative law enforcement work, and reasonably guide the behavior of business operators. | | 四、本指南不对现有法律法规体系进行扩展,不干涉经营者的自主定价权,不额外增加经营者的义务和负担,目的是规范价格行政执法工作,合理引导经营者行为。 |
| V. Competent price departments at all levels shall conscientiously fulfill the responsibilities of price regulation, make sure there is regulatory oversight but not ultra vires administration, and investigate and punish the fee-charging acts of commercial banks that are in violation of applicable provisions in a strict manner. The power to mete out price-related administrative punishments shall be regulated, and verified and confirmed issues of fee-charging in violation of applicable provisions shall be strictly dealt with pursuant to the law. | | 五、各级价格主管部门要认真履行价格监管责任,不越位、不缺位,严肃查处商业银行违规收费行为。规范价格行政处罚权,对查实的违规收费问题严格依法处理。 |
| VI. Price-related administrative law enforcement officers shall strictly follow the spirits of "eight provisions", and abide by various provisions of the CPC Central Committee on clean government and the Provisions on Clean Practices and Self-discipline of Price-related Law Enforcement Officers. They are prohibited from taking advantage of their work to seek for benefits and from using the opportunities of inspection to accept any banquets, gifts, cash gifts, marketable securities and entertainment arrangements that affect the impartiality of law enforcement operations, so as to establish a favorable image of an honest and clean price-related administrative law enforcement team that enforces the law in a civilized manner. | | 六、价格行政执法人员应当严格按照“八项规定”精神,遵守党中央廉洁从政的各项规定和《价格执法人员廉洁自律规定》,严禁利用工作之便谋取利益,严禁利用检查之机接受任何影响公正执法的宴请、礼品、礼金、有价证券以及娱乐活动安排,树立价格行政执法队伍清正廉洁、文明执法的良好形象。 |
| VII. Competent price departments at all levels shall study new measures in response to new situations and new issues, improve regulatory policies in a timely manner, and promote commercial banks to enforce the management of their fee-charging acts in the following three aspects: | | 七、各级价格主管部门要针对新情况、新问题研究新举措,及时完善监管政策,推动商业银行收费管理做到三“实”: |
| When setting chargeable items and fee-charging rates, a commercial bank shall be pushed to give full consideration to the actual needs of clients and its own business capacity, and match fee-charging rates with service contents and business costs, so that "chargeable items are real"; | | 推动商业银行设定收费项目和标准时,充分考虑客户的实际需求和自身的业务能力,收费标准与服务内容和业务成本相匹配,做到“项目实”。 |
| A commercial bank shall be pushed to provide clients with substantive services, so that "actual services are provided"; and | | 推动商业银行给客户提供实质性服务,做到“服务实”。 |
| A commercial bank shall be pushed to reinforce internal regulation of the fee-charging acts of its branches, and guide its branches to engaging in compliant operations and ensure their fee-charging acts are in compliance with the law, so that "effective management is carried out". | | 推动商业银行强化对分支机构收费行为的内部监管,引导分支机构合规经营,确保收费行为依法合规,做到“管理实”。 |
| VIII. Commercial banks shall strictly abide by government-guided prices and government-set prices, and reasonably determine the chargeable items and fee-charging rates in fields subject to market-regulated prices. | | 八、商业银行应当严格执行政府指导价、政府定价,合理确定市场调节价领域的收费项目和标准。 |
| The chargeable items and fee-charging rates subject to government-guided prices and government-set prices shall be determined by the List of Services of Commercial Banks That Are Subject to Government-guided Prices and Government-set Prices. | | 政府指导价、政府定价的项目和标准由《商业银行服务价格政府指导价政府定价目录》确定。 |
| The chargeable items and fee-charging rates subject to market-regulated prices shall be determined by the head offices of commercial banks in accordance with relevant provisions. The branches of commercial banks shall strictly abide by the chargeable items, fee-charging rates, fee-charging scope, parties from whom fees shall be charged and service contents as prescribed in their price lists. | | 市场调节价的收费项目和标准,由各商业银行总行依据相关规定设定。商业银行分支机构应当严格执行价目表的收费项目、标准、范围、对象和内容。 |
| IX. Commercial banks shall charge fees by following the principles of legal compliance, equality and voluntariness, separating fees from interest, and ensuring consistency between service quality and service fees. | | 九、商业银行收费行为应当遵循依法合规、平等自愿、息费分离、质价相符的原则。 |
| Legal compliance shall mean that the fee-charging acts of commercial banks shall be in compliance with laws and regulations. | | 依法合规,是指收费行为应当遵循法律法规的要求。 |
| Equality and voluntariness shall mean that a commercial bank and its clients enjoy equal legal status, and therefore the commercial bank shall provide services on the basis of voluntariness by both sides, and shall not forcibly provide services and charge fees, either directly or in disguise, by taking financing or other transaction conditions as prerequisites. | | 平等自愿,是指商业银行与客户法律地位平等,应当在双方自愿基础上提供服务,不应以融资或者其他交易条件为前提,强制或者变相强制提供服务、收取费用。 |
| Separating fees from interest shall mean that a commercial bank shall strictly distinguish interest-bearing business and fee-based business, and shall neither inflate revenue from intermediary services in the form of "converting interest into fees", nor convert interest or investment income into fee charges. | | 息费分离,是指商业银行应当严格区分收息与收费业务,不以“息转费”的形式虚增中间业务收入,不将利息或者投资收益转化为收费。 |
| Ensuring consistency between service quality and service fees shall mean that a commercial bank shall provide reasonably-priced services based on the actual needs of clients. Services in the categories of consulting and advisory, fund regulation, asset custody, financing arrangements, etc. shall, in particular, reflect the requirements on providing substantive services. | | 质价相符,是指商业银行应当根据客户的实际需要,提供价格合理的服务。顾问与咨询类、资金监管类、资产托管类、融资安排类等业务,特别应当体现实质性服务的要求。 |
| X. A commercial bank shall strictly comply with the provisions on clearly marking the prices of services, and make public service items, service contents, fee-charging rates, applicable parties, effective dates, methods for lodging complaints, etc. in eye-catching locations on its business premises in a timely and accurate manner. | | 十、商业银行应当严格执行明码标价的规定,在其营业场所醒目位置及时、准确公示服务项目、服务内容、收费标准、适用对象、生效日期、投诉方式等。 |
| A commercial bank shall make relevant information public pursuant to the Administrative Measures for the Service Prices of Commercial Banks if it intends to create new chargeable items subject to market-regulated prices, or raise the fee-charging rates of market-regulated prices. | | 商业银行设立新的市场调节价收费项目,或者提高市场调节价的收费标准,应当按照《商业银行服务价格管理办法》的规定进行公示。 |
| Where phased preferential measures cannot be promptly reflected in its price lists, a commercial bank shall announce such measures to clients in writing, and clearly mark the effective date and the ending date of such preferential measures. | | 阶段性优惠措施无法及时在价目表中体现的,应当以书面形式向客户公示,并明确标注优惠措施的生效和终止日期。 |
| XI. A commercial bank shall earnestly implement the various preferential measures that have been issued. | | 十一、商业银行应当认真落实已经出台的各项优惠措施。 |
| Where certain preferential measures will come into effect only after application by clients, a commercial bank shall take the initiative to fulfill the obligations of notification. | | 需要客户申请的优惠措施,应当主动履行告知义务。 |
| XII. As regards chargeable items that are subject to government-guided prices or government-set prices, a commercial bank that falls under any of the following circumstances shall be deemed as charging fees in violation of relevant provisions: | | 十二、对于实行政府指导价、政府定价的收费项目,商业银行有下列情形之一的,认定为违规收费行为: |
| (1) Where the commercial bank exceeds the floating range allowed for government-guided prices; | | (一)超出政府指导价浮动幅度的; |
| (2) Where the commercial bank charges fees above or below government-set prices; | | (二)高于或者低于政府定价的; |
| (3) Where the commercial bank sets up chargeable items or formulates fee-charging rates that fall within the scope of government-guided prices or government-set prices without authorization; | | (三)擅自制定属于政府指导价、政府定价范围内的收费项目或者标准的; |
| (4) Where the commercial bank applies government-guided prices or government-set prices earlier or later than scheduled; | | (四)提前或者推迟执行政府指导价、政府定价的; |
| (5) Where the commercial bank continues to charge fees for chargeable items expressly required to be abolished; or | | (五)对明令取消的收费项目继续收费的; |
| (6) Where the commercial bank commits other acts of charging fees in violation of relevant provisions that are prohibited by laws and regulations. | | (六)法律、法规禁止的其他违规收费行为。 |
| XIII. As regards chargeable items that are subject to market-regulated prices, a commercial bank that falls under any of the following circumstances shall be deemed as charging fees in violation of relevant provisions: | | 十三、对于实行市场调节价的收费项目,商业银行有下列情形之一的,认定为违规收费行为: |
| (1) Where the commercial bank sets up chargeable items outside its price list without authorization; | | (一)在价目表外自立收费项目的; |
| (2) Where the fee-charging rates of the commercial bank exceed the provisions of its price list; | | (二)收费标准超出价目表规定的; |
| (3) Where the parties from whom the commercial bank charges fees are inconsistent with those prescribed under its price list; | | (三)收费对象与价目表规定不符的; |
| (4) Where a branch of the commercial bank fails to effectively enforce the preferential policies on fee reduction and exemption formulated by the head office; or | | (四)对总行减免优惠政策没有执行到位的; |
| (5) Where the commercial bank commits other acts of charging fees in violation of relevant provisions that are prohibited by laws and regulations. | | (五)法律、法规禁止的其他违规收费行为。 |
| XIV. A commercial bank shall be deemed as charging fees without providing services if it falls under any of the following circumstances: where the commercial bank fails to provide substantive services for clients; or, where the commercial bank fails to provide services in accordance with its price list, service procedures and service contents agreed upon with clients, and reduces service contents without authorization. | | 十四、商业银行未给客户提供实质性服务,或者未能按照价目表、服务规程及与客户约定的服务内容提供服务,擅自减少服务内容的,认定为只收费不服务。 |
| XV. To determine that a commercial bank charges fees without providing services, a law enforcement agency may take into comprehensive consideration the aspects such as service hours, type of business, service contents, files management, etc., and pay particular attention to services in the categories of consulting and advisory, fund regulation, asset custody, financing arrangements, etc. The specific factors to be considered shall include, among others: | | 十五、执法机构认定只收费不服务,可以综合考虑服务时间、业务类型、服务内容、档案管理等方面,重点关注顾问与咨询类、资金监管类、资产托管类、融资安排类等业务,考虑因素具体包括但不限于: |
| (1) Whether the contents of the services provided are targeted, such as whether the commercial bank has only provided descriptions of its products or services, or only provided information that is obtained from publicly available sources without processing and collation; | | (一)服务内容是否体现出针对性,如是否仅提供了商业银行的产品或者业务介绍、仅提供了从公开渠道获得,未经加工整理的信息等; |
| (2) Whether the contents of the services provided meet the service standards agreed under service agreements; | | (二)服务内容是否达到服务协议约定的服务标准; |
| (3) Whether the services provided have already been covered in other chargeable items of the same client; | | (三)所提供服务是否已经涵盖在同一客户的其他收费项目中; |
| (4) Whether service records are complete; and | | (四)服务记录是否完整; |
| (5) Whether service personnel meet the requirements on eligibility and qualifications specified by the head office of the commercial bank. | | (五)服务人员是否符合总行规定的资格和资质。 |
| XVI. When providing financing in the form of credit extension, a commercial bank shall distinguish work responsibilities from paid services. Due diligence investigation, loan disbursement, payment management, post-lending management, and other jobs that shall be performed during credit extension business pursuant to relevant provisions shall not be considered as substantive paid services. | | 十六、商业银行以信贷方式提供融资时,应当区分工作职责和有偿服务。对于根据相关规定,在信贷业务中开展的尽职调查、贷款发放、支付管理、贷后管理等应尽的工作内容,不属于实质性有偿服务。 |
| XVII. Commercial banks that forge service records or service achievements shall be deemed as charging fees without providing services. | | 十七、伪造服务记录、服务成果的,认定为只收费不服务。 |
| XVIII. A commercial bank shall be deemed as charging fees without providing services if it falls under the following circumstances: the commercial bank uses funds on its balance sheet to engage in business cooperation with trust, securities, financial leasing and other non-banking financial institutions or other commercial banks for the purpose of corporate financing; and, the commercial bank charges fees from peer financial institutions or clients, but has not provided any substantive services. | | 十八、对于使用本行表内资金、以企业融资为目的,与信托、证券、融资租赁等非银行业金融机构或者其他商业银行开展业务合作,向同业金融机构或者客户收取费用但未提供实质性服务的,认定为只收费不服务。 |
| XIX. A commercial bank that violates the principle of equality and voluntariness, and forcibly requires clients to purchase services shall be deemed as charging fees in violation of relevant provisions. The specific factors to be considered shall include, among others: | | 十九、商业银行违背平等自愿原则,强制要求客户购买服务的,认定为违规收费行为,考虑因素具体包括但不限于: |
| (1) Whether the commercial bank forcibly provides services and charges fees when disbursing loans or providing financing by other means; | | (一)在发放贷款或者以其他方式提供融资时,是否强制服务并收费; |
| (2) Whether the commercial bank mandatorily ties wealth management products, funds, precious metals and other financial products for sale when disbursing loans or providing financing by other means; | | (二)在发放贷款或者以其他方式提供融资时,是否强制搭售理财、基金、贵金属等金融产品; |
| (3) Whether the commercial bank entices clients into purchasing insurance and other financial products by false or misleading price means when disbursing loans or providing financing by other means; or | | (三)在发放贷款或者以其他方式提供融资时,是否使用虚假的或者使人误解的价格手段诱骗消费者购买保险等金融产品; |
| (4) Whether the commercial bank forces clients to go through assessment, insurance and other services with designated enterprises. | | (四)是否强制客户到指定企业办理评估、保险等业务。 |
| XX. Where a commercial bank, after agreeing to provide working capital loans for a client, forcibly provides financing in the form of bankers' acceptance bills against the client's true wishes during the course of business operations, unreasonably increasing the burden on the client and inflating revenue from intermediary business, the commercial bank shall be deemed as charging fees in violation of relevant provisions. | | 二十、商业银行同意给予客户流动资金贷款后,在业务操作过程中违背客户真实意愿,强制以承兑汇票形式提供融资,不合理增加客户负担,虚增中间业务收入的,认定为违规收费行为。 |
| XXI. A commercial bank shall bear reasonable cost of doing business, and shall not pass on such costs to clients. The specific factors to be considered in deciding whether a commercial bank has passed on costs to clients shall include, among others: | | 二十一、商业银行应当承担合理的业务成本,不得转嫁。认定转嫁成本的考虑因素具体包括但不限于: |
| (1) Whether the commercial bank has, in the form of agreements, passed on the fees that shall be borne by itself under laws, regulations and rules to clients to bear; and | | (一)是否以协议等形式将法律、法规、规章规定应当由商业银行承担的费用转嫁给客户承担; |
| (2) Where notarization, registration, insurance, assessment and other services are required during the financing process, whether the commercial bank has passed on relevant fees that shall be borne by itself in accordance with laws, regulations and rules or according to contractual agreements to clients to bear. | | (二)融资过程中需要办理公证、登记、保险、评估等业务时,按照法律、法规、规章规定或者合同约定应由商业银行承担费用的,是否将相关费用转嫁给客户承担。 |
| XXII. When handling entrusted loan business, a commercial bank shall charge processing fees from the parties prescribed in its price list, and shall not charge fees from any third party other than the entrusting parties, except where the entrusting party has reached an agreement with the borrower concerned. In the absence of specific provisions in its price list on the parties from whom fees shall be charged, the commercial bank shall follow the principle that "whoever places the entrustment shall pay relevant fees". | | 二十二、商业银行办理委托贷款业务,应当向价目表规定的对象收取手续费,不得向委托方以外的第三方收取费用,委托方与借款人达成协议的情况除外。价目表没有明确规定收费对象的,遵循“谁委托、谁付费”的原则。 |
| XXIII. The fact that a commercial bank violates relevant provisions in charging fees is directly related to its ineffective internal management and unsound systems. In determining the acts of charging fees in violation of relevant provisions, other relevant factors shall also be taken into comprehensive consideration. In particular, specific positive factors that help standardize fee-charging acts shall include, among others: | | 二十三、商业银行违规收费行为的产生,与其内部管理不到位和制度不健全直接相关,对违规收费行为的认定,还应综合考虑相关因素。其中,有利于规范收费行为的积极因素具体包括但不限于: |
| (1) Having clear chargeable items. As regards the chargeable items announced in its price list, the commercial bank has, to the extent possible, refined fee-charging rates, applicable parties, service contents, etc.; | | (一)收费项目明确。商业银行价目表中公示的收费项目,尽可能细化了收费标准、适用对象、服务内容等。 |
| (2) Having developed service procedures. As regards chargeable items that involve specific service contents and service processes, the head office of the commercial bank has, either by itself or by authorizing branches, developed service procedures, specified service contents, scope and quality requirements, and refined service processes. In addition, the commercial bank has formulated standardized service agreement templates, specified the service period, service contents, service methods, fee amount, clauses on price-related exceptions and restrictions, contact details for making inquiries (lodging complaints) and other information, and put forward specific requirements on substantive services; | | (二)制定服务规程。对涉及具体服务内容及服务流程的收费项目,商业银行总行或者授权分行制定了服务规程,明确了服务内容、范围和质量要求,细化了服务流程。制定了规范的服务协议范本,明确约定服务期限、服务内容、服务方式、收费金额、与价格相关的例外条款和限制性条款、咨询(投诉)的联系方式等信息,并对实质性服务内容提出具体要求。 |
| (3) Raising the professional level of services. The commercial bank has specified the chargeable items for which services shall be provided by professionals, and has put forward specific requirements on the eligibility and qualifications of service personnel; | | (三)提高服务专业化水平。商业银行明确了需要专业人员提供服务的收费项目,并对服务人员资格和资质提出具体要求。 |
| (4) Having complete service files. As regards services in the categories of consulting and advisory, fund regulation, asset custody, financing arrangement, etc., the commercial bank has, after providing such services, saved relevant materials in hardcopy or softcopy, and established comprehensive files for management by unified numbering. Such files shall include service agreements, service records, notes for fee-charging, etc. Service records shall be complete (covering service personnel, service hours, service contents, client instructions, fund records, etc.), and be confirmed by service personnel and clients. | | (四)服务档案健全。对顾问与咨询类、资金监管类、资产托管类、融资安排类等服务,商业银行在提供服务后,保存了书面或者电子资料,建立了完善的档案并统一编号管理。档案包括服务协议、服务记录、收费票据等。服务记录完整(如:服务人员、服务时间、服务内容、客户指令、资金记录等),并由服务人员和客户确认。 |
| Where it provides services for clients through online banking or mobile banking, or by e-mail, phone, fax, etc., the commercial bank shall be able to prove that clients have confirmed relevant services in an appropriate manner. | | 对通过网上银行、手机银行、电子邮件、电话、传真等向客户提供服务的,能够以适当方式证明客户已确认服务。 |
| (5) Having a sound system for handling complaints against fee-charging. The commercial bank has improved its client complaint handling mechanism, and strengthened self-inspection and self-correction of fee-charging acts. Once it is found that fees are charged in violation of relevant provisions, the commercial bank shall be able to promptly refund such fees to clients. | | (五)有完善的收费投诉处理制度。健全客户投诉处理机制,加强收费行为的自查自纠。发现违规收费的,能够及时退还客户。 |
| XXIV. Specific negative factors that may cause or aggravate acts of charging fees in violation of relevant provisions shall include, among others: | | 二十四、可能造成或者加重违规收费行为的消极因素具体包括但不限于: |
| (1) Where a commercial bank sets unreasonable targets for growth of revenue from intermediate business and performance evaluation indicators; | | (一)不合理的中间业务收入增长目标和绩效考核指标; |
| (2) Where the service contents corresponding to chargeable items are not clear or too general; or | | (二)收费项目对应的服务内容不明确、过于笼统; |
| (3) Where a commercial bank fails to effectively correct the problems of charging fees in violation of relevant provisions that have been uncovered, or commits repeated violations after repeated inspections. | | (三)对已查出的违规收费问题整改不到位或者屡查屡犯。 |
| XXV.
