| To effectively implement the latest annual report requirements, improve the quality of information disclosure of listed companies and promote the standardized operation of listed companies, the Shanghai Stock Exchange (hereinafter referred to as the “Exchange”) has revised the memorandums on the periodic reports of listed companies. The Memorandum on the Periodic Reports of Listed Companies No. 5 – Guidelines for Independent Directors during the Annual Reporting Period (hereinafter referred to as the “Memorandum on the Annual Report Guidelines for Independent Directors”) has been issued to repeal the Memorandum on the Periodic Reports of Listed Companies No. 5 – the Preparation Requirements for the Discussion and Analysis of the Management (hereinafter referred to as the “Memorandum on the Discussion and Analysis of the Management”). You are hereby notified of relevant matters as follows: | | 为贯彻落实年报规范的最新要求，提高上市公司信息披露的质量，促进上市公司规范运作，上海证券交易所（以下简称“本所”）对上市公司定期报告工作备忘录进行了修订，制订了《上市公司定期报告工作备忘录第五号--独立董事年度报告期间工作指引》（以下简称“独立董事年报工作指引备忘录”），同时废止《上市公司定期报告工作备忘录第五号--管理层讨论与分析的编制要求》（以下简称“管理层讨论与分析备忘录”）。现将有关事项通知如下： |
