Notice of the Ministry of Commerce on the Relevant Matters about the Examination and Administration of Some Foreign-funded Enterprises in the Service Sector by the Competent Provincial Commerce Departments of Commerce and the State-level Economic and Technological Development Zones

The competent commerce departments of all provinces, autonomous regions, municipalities directly under the Central Government, cities under separate state planning and cities at the sub-province level as well as Xinjiang Production and Construction Corp; the state-level economic and technological development zones; and the border economic cooperation zones:
In order to further transform the government functions and promote the administrative system reform, we hereby notify you of the relevant matters about the examination and administration of some foreign-funded enterprises in the service sector as follows:

各省、自治区、直辖市、计划单列市、副省级市及新疆生产建设兵团商务主管部门、国家级经济技术开发区、边境经济合作区：
为进一步转变政府职能，推进行政管理体制改革，现就审核管理部分服务业外商投资企业相关事项通知如下：

I. The competent commerce department of a province, an autonomous region, a municipality directly under the Central Government, a city under separate state planning, a city at the sub-province level or Xinjiang Production and Construction Corp or the state-level economic and technological development zones shall be responsible for the examination and administration of the formation and modification of a foreign-funded enterprise with a total investment amount below USD 100 million in the encouraged or permitted category or a foreign-funded enterprise with a total investment amount below USD 50 million in the restricted category in the Catalogue of Industries for Guiding Foreign Investment in the following industries:
| | 一、现将《外商投资产业指导目录》中总投资1亿美元以下鼓励类、允许类；总投资5000万美元以下限制类的下述行业外商投资企业设立及变更由各省、自治区、直辖市、计划单列市、副省级市及新疆生产建设兵团商务主管部门、国家级经济技术开发区依法负责审核、管理：

(1) Chinese-foreign equity or contractual medical institutions;
| | （一）中外合资、合作医疗机构；
|
(2) Auction enterprises;
| | （二）拍卖企业；
|
(3) Distribution enterprises of books, newspapers and periodicals;
| | （三）图书、报纸、期刊分销企业；
|
(4) Chinese-foreign contractual wholesale enterprises of audio-video recordings;
| | （四）中外合作音像制品批发企业；
|
(5) Foreign-funded mineral exploration enterprises except for oil and gas; and
| | （五）外商投资非油气矿产勘查企业；
|
(6) Various types of mineral exploitation enterprises except for oil and gas.
| | （六）各类非油气采矿企业。
|
II. The powers to examine and approve matters on foreign mergers and acquisitions shall be divided according to the amounts involved in the merger and acquisition transactions. The competent provincial commerce department or the state-level economic and technological development zones shall be responsible for the examination and approval of matters on a merger or acquisition with a transaction amount below USD 100 million in the encouraged or permitted category or a merger or acquisition with a transaction amount below USD 50 million in the restricted category.
