The Measures for the Security Review of Foreign Investment, as deliberated and adopted at the 13th executive meeting of the National Development and Reform Commission on November 27, 2020, with the approval of the State Council, are hereby issued, and shall enter into force on January 18, 2021. 《外商投資安全審查辦法》已經2020年11月27日國家發展和改革委員會第13次委務會議審議通過,並經國務院批准,現予公布,自2021年1月18日起施行。

Measures for the Security Review of Foreign Investment 外商投資安全審查辦法
Article 1 For the purposes of satisfying the requirements for boosting the formation of a new pattern of comprehensively opening up and effectively preventing and dissolving national security risks while actively promoting foreign investment, these Measures are formulated in accordance with the Foreign Investment Law of the People's Republic of China, the National Security Law of the People's Republic of China, and related laws.   第一條 為了適應推動形成全面開放新格局的需要,在積極促進外商投資的同時有效預防和化解國家安全風險,根據《中華人民共和國外商投資法》《中華人民共和國國家安全法》和相關法律,制定本辦法。
Article 2 Foreign investment that affects or may affect national security shall be subject to security review under these Measures.   第二條 對影響或者可能影響國家安全的外商投資,依照本辦法的規定進行安全審查。
For the purposes of these Measures, "foreign investment" means the investing activities conducted by a foreign investor directly or indirectly in the territory of the People's Republic of China (hereinafter referred to as "in China"), including the following circumstances: 本辦法所稱外商投資,是指外國投資者直接或者間接在中華人民共和國境內(以下簡稱境內)進行的投資活動,包括下列情形:
(1) A foreign investor, alone or together with another investor, invests in a new project or invests by the formation of an enterprise in China. (一)外國投資者單獨或者與其他投資者共同在境內投資新建項目或者設立企業;
(2) A foreign investor acquires any equity or asset of an enterprise in China by means of merger or acquisition. (二)外國投資者通過並購方式取得境內企業的股權或者資產;
(3) A foreign investor invests in China by any other means. (三)外國投資者通過其他方式在境內投資。
Article 3 The state shall establish a foreign investment security review working mechanism (hereinafter referred to as the "working mechanism") responsible for organizing, coordinating, and guiding the foreign investment security review work.   第三條 國家建立外商投資安全審查工作機制(以下簡稱工作機制),負責組織、協調、指導外商投資安全審查工作。
Under the leadership of the National Development and Reform Commission ("NDRC") and the Ministry of Commerce and located in the NDRC, the Office of the Working Mechanism shall be responsible for the routine work in relation to the security review of foreign investment. 工作機制辦公室設在國家發展改革委,由國家發展改革委、商務部牽頭,承擔外商投資安全審查的日常工作。
Article 4 Foreign investors or the relevant parties in China (hereinafter collectively referred to as the "parties") shall proactively report any foreign investment within the following scope to the Office of the Working Mechanism before making the investment:   第四條 下列範圍內的外商投資,外國投資者或者境內相關當事人(以下統稱當事人)應當在實施投資前主動向工作機制辦公室申報:
(1) Investment in the arms industry, an ancillary to the arms industry, or any other field related to national defense security and investment in an area surrounding a military installation or an arms industry facility. (一)投資軍工、軍工配套等關系國防安全的領域,以及在軍事設施和軍工設施周邊地域投資;
(2) Investment in important agricultural products, important energy and resources, critical equipment manufacturing, important infrastructure, important transportation services, important cultural products and services, important information technology and Internet products and services, important financial services, key technology, or any other important field related to national security, resulting in the foreign investor's acquisition of actual control of the enterprise invested in. (二)投資關系國家安全的重要農產品、重要能源和資源、重大裝備制造、重要基礎設施、重要運輸服務、重要文化產品與服務、重要信息技術和互聯網產品與服務、重要金融服務、關鍵技術以及其他重要領域,並取得所投資企業的實際控制權。
For the purposes of subparagraph (2) of the preceding paragraph, "acquisition of actual control of the enterprise invested in" shall include the following circumstances: 前款第二項所稱取得所投資企業的實際控制權,包括下列情形:
(1) The foreign investor holds not less than 50% of the equities of the enterprise. (一)外國投資者持有企業50%以上股權;
(2) The foreign investor holds less than 50% of the equities of the enterprise, but has voting rights that have a material effect on the resolutions of the board of directors or the members' or shareholders' meeting. (二)外國投資者持有企業股權不足50%,但其所享有的表決權能夠對董事會、股東會或者股東大會的決議產生重大影響;
(3) The foreign investor is otherwise caused to be able to have a material effect on the business decision-making, personnel, finance, and technology, among others, of the enterprise. (三)其他導致外國投資者能夠對企業的經營決策、人事、財務、技術等產生重大影響的情形。
The Office of the Working Mechanism shall have the power to require the parties to report any foreign investment within the scope specified in the first paragraph of this article (hereinafter referred to as the "reporting scope"). 對本條第一款規定範圍(以下稱申報範圍)內的外商投資,工作機制辦公室有權要求當事人申報。
Article 5 Before reporting foreign investment to the Office of the Working Mechanism, the parties may consult the Office of the Working Mechanism over relevant issues.   第五條 當事人向工作機制辦公室申報外商投資前,可以就有關問題向工作機制辦公室進行咨詢。
Article 6 A party which reports foreign investment to the Office of the Working Mechanism shall submit the following materials:   第六條 當事人向工作機制辦公室申報外商投資,應當提交下列材料:
