Notice of the Shanghai Stock Exchange on Further Strengthening the Management of Investor Relations of Listed Companies
All listed companies,
The management of investor relations is of great significance to strengthening the public company awareness of listed companies, protecting the lawful rights and interests of investors, safeguarding the safe operation and function exertion of the securities market, advocating the notion of value investment and improving the market ecology. For purposes of further implementing the relevant provisions of the China Securities Regulatory Commission (CSRC), guiding and regulating the management of investor relations of listed companies, strengthening the information exchange between listed companies and investors, effectively protecting the lawful rights and interests of investors especially small and medium-sized investors, and promoting the sound and steady development of the securities market, the Shanghai Stock Exchange (hereinafter referred as the “SSE”), in accordance with the Company Law, the Securities Law, and other laws and regulations, the relevant provisions of the CSRC, and the Rules of the Shanghai Stock Exchange for Stock Listing (hereafter referred as the “Listing Rules”), hereby notifies you of relevant issues as follows:

各上市公司：
投资者关系管理工作是加强上市公司的公众公司意识，保护投资者合法权益，保障证券市场安全运行和功能发挥，倡导价值投资理念，改善市场生态的重要工作。为进一步贯彻落实中国证监会有关规定，引导和规范上市公司投资者关系管理，加强上市公司与投资者之间的信息沟通，切实保护投资者特别是中小投资者的合法权益，促进证券市场健康稳定发展，上海证券交易所（以下简称“本所”）根据《公司法》、《证券法》等法律、法规、中国证监会相关规定和《上海证券交易所股票上市规则》（以下简称“上市规则”），现就有关事项通知如下：

I. A listed company shall attach importance to and strengthen the management of investor relations, establish necessary information exchange channels for the management of investor relations, and establish mechanisms and platform for healthy bilateral communication with investors so as to enhance the investors' understanding of the company and maximize the overall interest of the company.
A listed company shall, with respect to the management of investor relations, treat all investors fairly.
| | 一、上市公司应当重视和加强投资者关系管理工作，为投资者关系管理工作设置必要的信息交流渠道，建立与投资者之间良好的双向沟通机制和平台，增进投资者对公司的了解，实现公司整体利益最大化。
上市公司在投资者关系管理工作中应当公平对待其所有投资者。

II. The board of directors of a listed company shall be responsible for formulating a working system for the management of investor relations, and the board of supervisors shall be responsible for supervising the implementation of the working system for the management of investor relations. The secretary of the board of directors shall be responsible for the management of investor relations.
