REGULATIONS ON MANAGEMENT OF LABOR WORK AND PERSONNEL IN FOREIGN-FUNDED ENTERPRISES(FFES) IN SHANGHAI
(Promulgated by the Standing Committee of the Shanghai Municipal People's Congress on December 20, 1994)
 

上海市外商投资企业劳动人事管理条例
(1987年12月19日上海市第八届人民代表大会常务委员会第三十三次会议通过 根据1994年12月9日上海市第十届人民代表大会常务委员会第十四次会议《关于修改<上海市中外合资经营企业劳动人事管理条例>的决定》修正)

CHAPTER ONE GENERAL PROVISIONS
 第一章 总则
Article 1 The regulations are formulated in line with "The Labor Law of the People's Republic of China" and other relevant laws and decrees and Shanghai's actual conditions, aiming at improving the management of labor work and personnel in Shanghai's FFEs to promote the development of the FFEs.
   第一条 为了加强上海市外商投资企业的劳动人事管理,促进外商投资企业的发展,根据《中华人民共和国劳动法》和其他有关法律、法规,结合上海市的实际情况,制定本条例。
Article 2 The regulations are applied to the FFEs established within the Shanghai administrative region and their employees.
FFEs referred hereof are Sino-foreign joint equity ventures, Sino- foreign cooperative ventures and solely foreign-funded enterprises.
   第二条 本条例适用于设立在上海市行政区域内的外商投资企业及其职工。
本条例所称的外商投资企业是指,中外合资经营企业、中外合作经营企业、外资企业。
Article 3 FFEs should work out and improve their own regulations and systems in a strive to guarantee that their employees can enjoy proper labor right and should perform their work well.
   第三条 外商投资企业应当依法建立和完善规章制度,保障职工享有劳动权利和履行劳动义务。
CHAPTER TWO RECRUITMENT, DISMISSAL, AND RESIGNATION OF EMPLOYEES
 第二章 职工的招聘、辞退和辞职
Article 4 FFEs may make their own decision on organizational setups and the size of staff according to their needs. Their plans of employment should be reported to administrative departments of labor and personnel for the record and be carried out under the guidance of the above mentioned departments.
   第四条 外商投资企业根据生产经营的需要,可以自行确定机构设置和人员编制。企业确定的用人计划,报劳动、人事行政部门备案,在上述部门指导下实施。
Article 5 FFEs may recruit professionals, technicians, managing personnel and skilled workers in need from among either the personnel recommended by the Chinese partner and relevant authoritative departments of the industry or the graduates from colleges, secondary technical schools and technical training schools. They may also make open recruitment in the city to employ the persons who have been proven as qualified for the work.
The employees recruited by the FFEs should have the permanent residence in Shanghai. People from other provinces and cities should be recruited in line with relevant regulations of Shanghai; whereas personnel have to be employed from foreign countries or Taiwan, Hong Kong and Macao regions, the recruitment should be made in line with relevant regulations of China. School students and personnel who are not allowed to be employed by laws or decrees should not be employed by FFEs.
Whereas a FFE wants to openly recruit a personnel who is employed in another unit in the city, the former employer of the personnel should support the free transfer of the personnel concerned. Whereas there is any dispute in the recruitment, the relevant labor and personnel departments should help settle and make arbitration.
   第五条 外商投资企业需要的专业技术人员、管理人员和技术工人,可以在中方投资者和企业主管部门从本系统内推荐的人员中招聘,也可以从高等院校、中等专业学校、技工学校应届毕业生中招聘,或者在本市范围内公开招聘,经企业考核合格后录用。
外商投资企业招聘的职工,应当具有上海市常住户口。需招聘外省市人员的,按本市有关规定办理;确需招聘外籍及台湾、香港、澳门地区人员的,必须按照国家有关规定办理。但不得招聘在校学生以及法律、法规规定不得录用的人员。
外商投资企业公开招聘录用本市在职职工时,被录用职工的原单位应当积极支持,允许流动。如有争议,分别由劳动、人事行政部门协调、裁决。
Article 6 In recruitment of Chinese personnel by joint equity and cooperative ventures set up by Shanghai and foreign businesses, priority should be given to the employees originally working at the original Shanghai businesses. For personnel the Shanghai partners can not provide, they may be recruited from among other businesses under the same department in charge of the Shanghai partners. In case a disbandment of the Shanghai partner due to a merger of other reasons, the employees of the Shanghai business not recruited should be assigned by the Shanghai partner or by its department in charge.
   第六条 本市企业同外商举办合资、合作经营企业时,所需的中国职工应当先从原企业职工中招聘,原企业不能满足的,从原企业的主管部门所属的系统内招聘;未录用的原企业职工,由中方投资者或者原企业主管部门另行安置。
Article 7 Foreign partners of the FFEs may recommend the recruitment of one or two Chinese personnel who are qualified for the job for the FFEs and such personnel may be recruited after they are proven as qualified by the enterprises.
   第七条 外商投资企业的外方投资者,可以推荐个别具有实际工作能力、适合企业需要的国内人员为企业职工,经企业考核合格后录用。
Article 8 Employees recruited by the FFEs must be at least 16 years of age and those who should be assigned to toxic, hazardous and heavy labor work must be at least 18 years of age.
   第八条 外商投资企业招聘的职工,最低年龄必须满十六周岁;从事有毒有害作业和特别繁重体力劳动工种的,最低年龄必须满十八周岁。
Article 9 The Chinese employees recruited by the FFEs must go through the recruiting formalities with labor and personnel administrative departments.
   第九条 外商投资企业录用的中国职工,必须向劳动、人事行政部门指定的机构办理录用手续。
Article 10 The term of trial employment of the employees set by the FFEs should be defined in the labor contract whereas a such term of trial is needed and the term should not be longer than six months.
   第十条 外商投资企业聘用的职工,需要试用的,可以在劳动合同中约定试用期,试用期最长不得超过六个月。
Article 11 The employees of the FFEs should work under a labor contract system. A FFE and its employees should sign a labor contract in line with laws and the principles of equality, voluntariness and unanimity through consultation. A labor contract should be formulated in line with Chinese laws and decrees with the following contents:
   第十一条 外商投资企业的职工,实行劳动合同制。外商投资企业应当与其招聘的职工在平等自愿、协商一致的基础上,依法签订劳动合同。劳动合同必须符合我国有关法律、法规的规定,其内容应当包括:
1. Quotas of production, quantity, quality and work of the employees;
 (一)生产和工作应当达到的数量、质量指标,或者应当完成的任务;
2. Term of operation of the labor contract;
 (二)劳动合同期限;
3. Labor remuneration, labor insurance and welfare;
 (三)劳动报酬和劳动保险、生活福利待遇;
4. Production and working conditions and labor protection;
 (四)生产、工作条件和劳动保护;
5. Clauses for labor discipline, reward and punishment, dismissal and resignation;
 (五)劳动纪律、奖惩、辞退和辞职条款;
6. Conditions for terminating the labor contract;
 (六)劳动合同终止的条件;
7. Responsibilities for the parties in case violation of the labor contracts; and
 (七)违反劳动合同者应当承担的责任;
8. Other matters that both parties deem it necessary to lay down.
The labor contract should be written in Chinese and may also be written in foreign languages, the Chinese version should dominate whereas there are conflicts between the two versions.
The labor contract is formulated according to law and it has legal binding force, hence both parties must strictly abide by. Any party that requires to revise the contract must have the agreement of the other side through consultations. Under an agreement of both parties the term of a labor contract may be extended upon its expiration.
The standard copy of the contract should be reported to labor and personnel departments and the Shanghai Municipal Federation of Trade Unions for the record. The above mentioned departments may supervise and examine the implementation of the contract.
A trade union or representatives elected by employees before the trade union is established in a FFE may represent employees to work out and sign a collective labor contract with the enterprise in line with laws through consultation and negotiation with regard to labor remuneration, working time, rest and holidays, insurance and welfare, labor protection and other matters.
 (八)双方认为需要规定的其他事项。
劳动合同应当用中文书写,也可以同时用外文书写,但中、外文本劳动合同内容不一致时,以中文本劳动合同为准。
劳动合同依法订立,即具有法律约束力,双方必须严格执行。任何一方要求修改合同,须经双方协商同意。合同期满后如要求续订,经双方同意,可以续订合同。
劳动合同的标准文本应报劳动、人事行政部门和市总工会备案。上述部门可以对合同的执行情况分别进行监督、检查。
外商投资企业中的工会组织(在建立工会前,由职工推举的代表)可以代表职工一方就劳动报酬、工作时间、休息休假、保险福利、劳动保护等事项与企业通过协商谈判,依法订立集体合同。
Article 12 The FFEs should institute a system of "Labor Manual" for the Chinese employees. The "Labor Manual" is the certificate for the employees in terms of employment, unemployment pension and registration for re-employment.
   第十二条 对外商投资企业的中国职工,必须建立《劳动手册》制度。《劳动手册》是职工参加工作、享受待业保险和重新登记就业的凭证。
Article 13 A FFE may terminate the labor contract and dismiss an employee in one of the following cases:
   第十三条 符合下列情形之一者,外商投资企业可以解除劳动合同,辞退职工:
1. The employee is proved not up to the qualifications for recruitment during the trial employing period;
 (一)在试用期内,被证明不符合录用条件的;
2. The employee cannot do the original work or other assignment by the FFE after set period of medical treatment for illness or injuries occurred not because of work;
 (二)职工患病或者非因工负伤,在规定的医疗期满后不能从事原工作也不能从事外商投资企业另行安排的工作的;
3. The employee seriously violates labor discipline or the statute of the FFE;
 (三)职工因严重违反劳动纪律或者外商投资企业规章制度的;
4. The employee is seriously derelict of his duty and practises graft and has caused serious harms to the FFE;
 (四)严重失职,营私舞弊,对外商投资企业利益造成重大损害的;
5. The employee is not competent at his/her job and remains unqualified even after proper training or reassignment;
 (五)职工不能胜任工作,经过培训或者调整工作岗位后,仍不能胜任工作的;
6. The labor contract can no longer be implemented due to major changes of objective condition after it was signed and an agreement for revision can not be reached through consultation by parties concerned; and
 (六)劳动合同订立时所依据的客观情况发生重大变化,致使原劳动合同无法履行,经当事人协商不能就变更劳动合同达成协议的;
7. Other matters as stipulated in the labor contract.
 (七)在劳动合同中另有约定的。
Article 14 The labor contract automatically terminates in one of the following cases:
   第十四条 有下列情形之一的,劳动合同即自行解除:
1. An employee is being investigated and affixed the responsibility for a crime or is being educated through labor; and
 (一)职工被依法追究刑事责任或者劳动教养的;
2. A FFE is declared disbanded.
 (二)外商投资企业宣告解散的。
Article 15 A FFE should not terminate the labor contract or dismiss an employee in one the following cases:
   第十五条 有下列情形之一的,外商投资企业不得终止或者解除劳动合同,不得辞退职工:
1. The employee is still within the set period of medical treatment for illness or injuries occurred not because of work except cases set items 1, 3 and 4 of Article 13 of this set of regulations;
 (一)职工因病或者非因工负伤在规定医疗期内的,但符合本条例第十三条第(一)、(三)、(四)项规定的除外;
2. The employee is in medical treatment and recuperation for occupational illness or injury at work posts;
 (二)职工因工负伤或者患有职业病,在治疗、疗养期间的;
3. Women employees who are pregnant or who enjoy their maternity or lactation, except cases set in items 1, 3 and 4 of Article 13 of this set of regulations;
 (三)女职工在孕期、产期和哺乳期间的,但符合本条例第十三条第(一)、(三)、(四)项规定的除外;
4. Those whose labor contract has not yet expired and are not in cases as set in Article 13 of this set of regulations; and
 (四)劳动合同期限未满,又不符合本条例第十三条规定的;
5. Other cases as stipulated by laws and decrees.

外商投资企业职工因工负伤或者患职业病医疗终结,经劳动鉴定委员会鉴定确认不同程度丧失劳动能力的,其劳动合同的终止或者解除按以下规定执行:
