For the Appellant's refusal to accept the judgment concerning the dispute over the payment for goods made by Jiangmen Intermediate People's Court [(1999) Jiang Zhong Fa Jing Chu Zi No. 23] (hereinafter referred to as the judgment of the first instance), it appealed to the Higher People's Court of Guangdong Province, who tried this case by the collegial panel composed of judges in accordance with the law. Now the trial of this case has been wound up.
Facts: On July 22nd, 1988, Mr. Wen Zhenzhong, the legal representative of Jiangmen Xinhua Paper Mill (hereinafter referred to as Xinhua Mill) and Mr. Xu Deshan, the proprietor of Hong Kong Tak Lee Metals & Paper Industry Company (hereinafter referred to as Tak Lee Company), respectively invested 285, 000 US Dollars and 15,000 US Dollars to set up the Hong Kong Nature Development Co., Ltd. (hereinafter referred to as Nature Company). On September 9th of that year, Xinhua Mill and Tak Lee Company entered into ¨the Agreement concerning the foundation of Nature Company〃, which stipulated that the registered capital of Nature Company was 1,000,000 Hong Kong Dollars, of which 300,000 Hong Kong Dollars were actually paid, with the shares of Xinhua Mill and Tak Lee Company respectively amounting to 95% and 5% of the investment. The agreement also provided that Xinhua Mill was responsible for the management of Nature Company and Tak Lee Company was to assist the management, and that the board chairman was to be assumed by Mr. Wen Zhenzhong and director was to be assumed by Mr. Xu Deshan. The Economic Commission of Jiangmen, on December 21st, 1988, dictated a letter to Communications Bank of Hong Kong, seeking loans for Nature Company, which also entered into ¨the Agreement concerning the foundation of Nature Company〃. In 1992, Xinhua Mill, for the construction of a new project, entered into a surety agreement with the Bank of China, Jiangmen Branch, according to which the former asked the latter to provide surety for the loan of 4 million US Dollars lent to Jiahua Finance Company of Hong Kong by Hong Kong Ju Yu Development Co., Ltd. When Hong Kong Ju Yu Development Co., Ltd. lent the money to Nature Company, Xinhua Mill stated that Nature Company was its rep office located in Hong Kong. Following the establishment of Nature Company, Mr. Wen Zhenzhong assumed the president of Xinhua Mill and the director of Nature Company as well.
