| Chapter I General Provisions | | 第一章 总 则 |
| Article 1 To promote the development of the financial leasing business and regulate the operations of financial leasing companies, these Measures are developed in accordance with the Banking Supervision Law of the People's Republic of China, the Company Law of the People's Republic of China, and other relevant laws and regulations. | | 第一条 为促进融资租赁业务发展，规范金融租赁公司的经营行为，根据《中华人民共和国银行业监督管理法》、《中华人民共和国公司法》等法律法规，制定本办法。 |
| Article 2 For the purposes of these Measures, the term “financial leasing companies” means non-bank financial institutions established with the approval of the China Banking Regulatory Commission (“CBRC”) and mainly engaged in financial leasing. | | 第二条 本办法所称金融租赁公司，是指经银监会批准，以经营融资租赁业务为主的非银行金融机构。 |
| Financial leasing companies shall include the words “financial leasing” in their names. Without the approval of the CBRC, no entity may use the words “financial leasing” in its name. | | 金融租赁公司名称中应当标明“金融租赁”字样。未经银监会批准，任何单位不得在其名称中使用“金融租赁”字样。 |
| Article 3 For the purposes of these Measures, the term “financial leasing” means transactions in which, according to the lessee's choice or recognition of the leased property or supplier, the lessor leases the property obtained from the supplier to the lessee for occupation or use and collects rents from the lessee according to the lease contract. | | 第三条 本办法所称融资租赁，是指出租人根据承租人对租赁物和供货人的选择或认可，将其从供货人处取得的租赁物按合同约定出租给承租人占有、使用，向承租人收取租金的交易活动。 |
| Article 4 The property suitable for financial leasing transactions shall be fixed assets, except as otherwise specified by the CBRC. | | 第四条 适用于融资租赁交易的租赁物为固定资产，银监会另有规定的除外。 |
| Article 5 For the purposes of these Measures, the term “sale and leaseback” means a form of financial leasing in which the lessee sells its own property to the lessor and, at the same time, enters into a financial leasing contract with the lessor to lease back the property from the lessor. Under sale and leaseback, the lessor and the supplier are the same party. | | 第五条 本办法所称售后回租业务，是指承租人将自有物件出卖给出租人，同时与出租人签订融资租赁合同，再将该物件从出租人处租回的融资租赁形式。售后回租业务是承租人和供货人为同一人的融资租赁方式。 |
| Article 6 The CBRC and its local offices shall, according to the law, supervise and administer financial leasing companies. | | 第六条 银监会及其派出机构依法对金融租赁公司实施监督管理。 |

| Chapter II Establishment, Modification and Termination of Institutions | | 第二章 机构设立、变更与终止 |
| Article 7 An application for establishing a financial leasing company shall meet the following conditions: | | 第七条 申请设立金融租赁公司，应当具备以下条件： |
| (1) The bylaws of the financial leasing company comply with the provisions of the Company Law of the People's Republic of China and the rules of the CBRC. | | （一）有符合《中华人民共和国公司法》和银监会规定的公司章程； |
| (2) The promoters of the financial leasing company satisfy the prescribed conditions. | | （二）有符合规定条件的发起人； |
| (3) The registered capital of the financial leasing company is money capital paid up in a lump sum of, at a minimum, 100 million yuan or an equivalent in freely convertible currencies. | | （三）注册资本为一次性实缴货币资本，最低限额为1亿元人民币或等值的可自由兑换货币； |
| (4) The financial leasing company has directors and senior executives meeting the office qualification requirements, and the number of its employees with three years or more of experience in the financial or financial leasing field accounts for not less than 50% of the total number of its employees. | | （四）有符合任职资格条件的董事、高级管理人员，并且从业人员中具有金融或融资租赁工作经历3年以上的人员应当不低于总人数的50%； |
| (5) The financial leasing company has established effective corporate governance, internal control, and risk management systems. | | （五）建立了有效的公司治理、内部控制和风险管理体系； |
| (6) The financial leasing company has established an information technology framework suitable for its operations and meeting the regulatory requirements, has necessary, safe, and compliant information systems to support its operations, and has technologies and measures that guarantee its continuous operations. | | （六）建立了与业务经营和监管要求相适应的信息科技架构，具有支撑业务经营的必要、安全且合规的信息系统，具备保障业务持续运营的技术与措施； |
| (7) The financial leasing company has business premises, safety precaution measures, and other facilities suitable for its operations. | | （七）有与业务经营相适应的营业场所、安全防范措施和其他设施； |
| (8) Other prudential conditions as set forth by the CBRC. | | （八）银监会规定的其他审慎性条件。 |
| Article 8 The promoters of financial leasing companies include commercial banks registered inside or outside China with an independent corporate status, large-sized enterprises registered inside China and mainly engaged in the manufacturing of products suitable for financial leasing transactions, financial leasing companies registered outside China, and other promoters recognized by the CBRC. | | 第八条 金融租赁公司的发起人包括在中国境内外注册的具有独立法人资格的商业银行，在中国境内注册的、主营业务为制造适合融资租赁交易产品的大型企业，在中国境外注册的融资租赁公司以及银监会认可的其他发起人。 |
| Other promoters recognized by the CBRC mean the domestic institutions with a corporate status and overseas financial institutions other than those mentioned in Articles 9 to 11 of these Measures. | | 银监会认可的其他发起人是指除符合本办法第九条至第十一条规定的发起人以外的其他境内法人机构和境外金融机构。 |
| Article 9 To be a financial leasing company's promoter, a commercial bank registered inside or outside China with an independent corporate status shall meet the following conditions: | | 第九条 在中国境内外注册的具有独立法人资格的商业银行作为金融租赁公司发起人，应当具备以下条件： |
| (1) It satisfies the prudential regulation requirements of the regulatory authority of the country or region where it is located. | | （一）满足所在国家或地区监管当局的审慎监管要求； |
| (2) It has a good corporate governance structure, an effective internal control mechanism, and a sound risk management system. | | （二）具有良好的公司治理结构、内部控制机制和健全的风险管理体系； |
| (3) Its year-end total assets in the prior year were not less than 80 billion yuan or an equivalent in freely convertible currencies. | | （三）最近1年年末总资产不低于800亿元人民币或等值的可自由兑换货币； |
| (4) Its financial condition is good, with profits earned in the last two fiscal years consecutively. | | （四）财务状况良好，最近2个会计年度连续盈利； |
| (5) It has determined definite development strategies and clear profit modes for the financial leasing company to be established. | | （五）为拟设金融租赁公司确定了明确的发展战略和清晰的盈利模式； |
| (6) It abides by the laws and regulations of its place of registration, and has experienced no major case or committed no gross violation of laws and regulations in the last two years. | | （六）遵守注册地法律法规，最近2年内未发生重大案件或重大违法违规行为； |
| (7) If the promoter is an overseas commercial bank, the financial regulatory authority of the country or region where it is located has established a good supervision and administration cooperation mechanism with the CBRC. | | （七）境外商业银行作为发起人的，其所在国家或地区金融监管当局已经与银监会建立良好的监督管理合作机制； |
| (8) The capital to be contributed by it to the financial leasing company is its own capital, and it may not make such capital contribution with funds held as a trustee or borrowed funds. | | （八）入股资金为自有资金，不得以委托资金、债务资金等非自有资金入股； |
| (9) It has promised not to transfer its equity in the financial leasing company and not to pledge or create a trust for its equity in the financial leasing company within five years, which has been included in the bylaws of the company to be established. | | （九）承诺5年内不转让所持有的金融租赁公司股权、不将所持有的金融租赁公司股权进行质押或设立信托，并在拟设公司章程中载明； |
| (10) Other prudential conditions as set forth by the CBRC. | | （十）银监会规定的其他审慎性条件。 |
| Article 10 To be a financial leasing company's promoter, a large-sized enterprise registered inside China and mainly engaged in the manufacturing of products suitable for financial leasing transactions shall meet the following conditions: | | 第十条 在中国境内注册的、主营业务为制造适合融资租赁交易产品的大型企业作为金融租赁公司发起人，应当具备以下条件： |
| (1) It has a good corporate governance structure or an effective organizational management mode. | | （一）有良好的公司治理结构或有效的组织管理方式； |
| (2) Its operating revenue in the last year is not less than five billion yuan or an equivalent in freely convertible currencies. | | （二）最近1年的营业收入不低于50亿元人民币或等值的可自由兑换货币； |
| (3) Its financial condition is good, with profits earned in the last two fiscal years consecutively. | | （三）财务状况良好，最近2个会计年度连续盈利； |
| (4) Its year-end net assets in the prior year were not less than 30% of its total assets. | | （四）最近1年年末净资产不低于总资产的30%； |
| (5) Its sales revenue from its main business in the last year accounts for, at a minimum, 80% of its total operating revenue. | | （五）最近1年主营业务销售收入占全部营业收入的80%以上； |
| (6) It has determined definite development strategies and clear profit modes for the financial leasing company to be established. | | （六）为拟设金融租赁公司确定了明确的发展战略和清晰的盈利模式； |
| (7) It has a good social reputation, a good integrity record, and a good tax record. | | （七）有良好的社会声誉、诚信记录和纳税记录； |
| (8) It abides by the laws and regulations of the state, and has experienced no major case or committed no gross violation of laws and regulations in the last two years. | | （八）遵守国家法律法规，最近2年内未发生重大案件或重大违法违规行为； |
| (9) The capital to be contributed by it to the financial leasing company is its own capital, and it may not make such capital contribution with funds held as a trustee or borrowed funds. | | （九）入股资金为自有资金，不得以委托资金、债务资金等非自有资金入股； |
| (10) It has promised not to transfer its equity in the financial leasing company and not to pledge or create a trust for its equity in the financial leasing company within five years, which has been included in the bylaws of the company to be established. | | （十）承诺5年内不转让所持有的金融租赁公司股权、不将所持有的金融租赁公司股权进行质押或设立信托，并在拟设公司章程中载明； |
| (11) Other prudential conditions as set forth by the CBRC. | | （十一）银监会规定的其他审慎性条件。 |
| Article 11 To be a financial leasing company's promoter, a financial leasing company registered outside China with an independent corporate status shall meet the following conditions: | | 第十一条 在中国境外注册的具有独立法人资格的融资租赁公司作为金融租赁公司发起人，应当具备以下条件： |
| (1) It has a good corporate governance structure, an effective internal control mechanism, and a sound risk management system. | | （一）具有良好的公司治理结构、内部控制机制和健全的风险管理体系； |
| (2) Its year-end total assets in the prior year were not less than 10 billion yuan or an equivalent in freely convertible currencies. | | （二）最近1年年末总资产不低于100亿元人民币或等值的可自由兑换货币； |
| (3) Its financial condition is good, with profits earned in the last two fiscal years consecutively. | | （三）财务状况良好，最近2个会计年度连续盈利； |
| (4) It abides by the laws and regulations of its place of registration, and has experienced no major case or committed no gross violation of laws and regulations in the last two years. | | （四）遵守注册地法律法规，最近2年内未发生重大案件或重大违法违规行为； |
| (5) The economic condition of the country or region where it is located is good. | | （五）所在国家或地区经济状况良好； |
| (6) The capital to be contributed by it to the financial leasing company is its own capital, and it may not make such capital contribution with funds held as a trustee or borrowed funds. | | （六）入股资金为自有资金，不得以委托资金、债务资金等非自有资金入股； |
| (7) It has promised not to transfer its equity in the financial leasing company and not to pledge or create a trust for its equity in the financial leasing company within five years, which has been included in the bylaws of the company to be established. | | （七）承诺5年内不转让所持有的金融租赁公司股权、不将所持有的金融租赁公司股权进行质押或设立信托，并在拟设公司章程中载明； |
| (8) Other prudential conditions as set forth by the CBRC. | | （八）银监会规定的其他审慎性条件。 |
| Article 12 A financial leasing company shall have, at a minimum, one promoter which meets the conditions in Article 9, 10, or 11, and the promoter's capital contribution shall account for not less than 30% of the total equity of the financial leasing company to be established. | | 第十二条 金融租赁公司至少应当有一名符合第九条至第十一条规定的发起人，且其出资比例不低于拟设金融租赁公司全部股本的30%。 |
| Article 13 To be a financial leasing company's promoter, any other domestic institution with a corporate status shall meet the following conditions: | | 第十三条 其他境内法人机构作为金融租赁公司发起人，应当具备以下条件： |
| (1) It has a sound corporate governance structure or an effective organizational management mode. | | （一）有良好的公司治理结构或有效的组织管理方式； |
| (2) It has a good social reputation, a good integrity record, and a good tax record. | | （二）有良好的社会声誉、诚信记录和纳税记录； |
| (3) Its operations and management are in good condition, and it has committed no gross violation of laws and regulations in operations in the last two years. | | （三）经营管理良好，最近2年内无重大违法违规经营记录； |
| (4) Its financial condition is good, with profits earned in the last two fiscal years consecutively. | | （四）财务状况良好，且最近2个会计年度连续盈利； |
| (5) The capital to be contributed by it to the financial leasing company is its own capital, and it may not make such capital contribution with funds held as a trustee or borrowed funds. | | （五）入股资金为自有资金，不得以委托资金、债务资金等非自有资金入股； |
| (6) It has promised not to transfer its equity in the financial leasing company and not to pledge or create a trust for its equity in the financial leasing company within five years, which has been included in the bylaws of the company to be established. | | （六）承诺5年内不转让所持有的金融租赁公司股权，不将所持有的金融租赁公司股权进行质押或设立信托，并在公司章程中载明； |
| (7) Other prudential conditions as set forth by the CBRC. | | （七）银监会规定的其他审慎性条件； |
| If the other domestic institution is a non-financial institution, its year-end net assets in the prior year shall not be less than 30% of its total assets. | | 其他境内法人机构为非金融机构的，最近1年年末净资产不得低于总资产的30%； |
| If the other domestic institution is a financial institution, it shall satisfy the requirements of laws, regulations, and regulatory provisions regarding financial institutions in the same category. | | 其他境内法人机构为金融机构的，应当符合与该类金融机构有关的法律、法规、相关监管规定要求。 |
| Article 14 To be a financial leasing company's promoter, any other overseas financial institution shall meet the following conditions: | | 第十四条 其他境外金融机构作为金融租赁公司发起人，应当具备以下条件： |
