Order of the People's Government of Guangzhou (No. 15)
Some Provisions of Guangzhou on Promoting the Development of Venture Capital Investment Industry examined and adopted at the 82nd session of the 11th executive meeting of the City Government on July 23, 2001, are hereby promulgated, and shall enter into force on September 1, 2001.

Article 1
These Provisions are formulated in combination with the actual situation of this City with a view to absorbing venture capital funds from home and abroad and promoting the development of the career of venture capital investment.
| | 第一条 为吸引境内外风险投资资金，促进风险投资事业的发展，根据本市实际，制定本规定。

Article 2
Venture capital investment mentioned in these Provisions shall refer to the investment acts of investing various share rights in hi-tech enterprises or small or medium sized scientific and technological enterprises and of providing the said enterprises with operational, management and consulting services, so as to obtain proceeds through transfer of the share rights after the enterprises have been mature.
| | 第二条 本规定所称风险投资，是指主要向高新技术企业、科技型中小企业进行各类股权投资，为其提供经营管理和咨询服务，以期在企业发展成熟后，通过股权转让获取收益的投资行为。

Article 3
Venture capital investment institutions mentioned in these Provisions shall refer to the venture capital investment companies and venture capital management companies established in this City in the form of limited liability company or joint stock limited company.
A venture capital investment company shall be a non-financial investment enterprise with direct share right investment to be its main business.
A venture capital management company shall be an enterprise entrusted by a venture capital investment company to manage the venture capital as well as to recommend and evaluate investment projects for the latter.
| | 第三条 本规定所称风险投资机构是指以有限责任公司、股份有限公司形式在本市设立的风险投资公司和风险投资管理公司。
风险投资公司是非金融性的、以直接股权投资为主要业务的投资性企业。
风险投资管理公司是受风险投资公司委托管理风险资本，为其推荐、评估投资项目的企业。

Article 4
The venture capital investment may be carried out by means of establishing venture capital fund. The establishment and management of venture capital funds shall be handled in accordance with the relevant provisions of the State.
| | 第四条 风险投资也可以设立风险投资基金的方式进行。风险投资基金的设立和管理按国家有关规定办理。

Article 5
The intermediary service institutions such as financial guaranty institutions and scientific and technological evaluation institutions, are encouraged to be engaged in the business relating to venture capital to provide venture capital services.
| | 第五条 鼓励融资担保机构、科技评估机构等中介服务机构从事风险投资相关业务，为风险投资提供服务。

Article 6
The administrative department of science and technology of this City shall be responsible for the implementation of these Provisions.
The administrative department of industry and commerce of this City shall be responsible for the registration of venture capital investment institutions.
| | 第六条 市科技行政部门组织实施本规定。
市工商行政管理部门负责风险投资机构的公司登记工作。
