| Article 1 For the purposes of implementing the spirit of the important instructions given by General Secretary Xi Jinping on the development of the private sector and the decisions and arrangements of the CPC Central Committee and making private enterprises in Shanghai grow stronger and better and achieve innovative development, these Opinions are developed in accordance with the Several Opinions on Comprehensively Enhancing the Vitality of the Private Sector and Vigorously Promoting the Sound Development of the Private Sector (No. 27 [2018], Shanghai CPC Municipal Committee). | | 第一条 为深入贯彻习近平总书记关于民营经济发展的重要指示精神和党中央决策部署，促进本市民营企业做强做优，实现创新发展，根据上海市委、市政府《关于全面提升民营经济活力大力促进民营经济健康发展的若干意见》（沪委发〔2018〕27号），制订本意见。 |
| Article 2 For the purposes of these provisions, the term “headquarters of private enterprises” is divided into headquarters of private enterprises and headquarters-type organizations. | | 第二条 本规定所称民营企业总部，分为企业总部与总部型机构。 |
| “Enterprise headquarters” means an independent corporate enterprise organization that is established in this municipality and has the power to control or exercise administration over its investment institutions and most of which belong to the private sector in terms of economic nature. | | 企业总部是指，在本市设立，对其投资机构拥有控制权或行使管理权，经济性质以民营经济为主的独立法人企业组织。 |
| “Headquarters-type organization” means an independent corporate enterprise organization that is established in this municipality by a private enterprise from any other province or municipality and provides management decision-making, fund management, procurement, sales, logistics, settlement, research and development, training and other services in two or more provincial-level regions and most of which belong to private sector in terms of economic nature. | | 总部型机构是指，外省市民营企业在本市设立，在两个或两个以上省级区域内提供管理决策、资金管理、采购、销售、物流、结算、研发、培训等服务，经济性质以民营经济为主的独立法人企业组织。 |
| Article 3 The Municipal Commission of Commerce shall, along with the Municipal Development and Reform Commission, the Municipal Commission of Economy and Informatization and the Federation of Industry and Commerce, carry out the recognition of headquarters of private enterprises. | | 第三条 市商务委会同市发展改革委、市经济信息化委以及市工商联开展民营企业总部的认定工作。 |
| The Municipal Development and Reform Commission, the Municipal Commission of Economy and Informatization, the Municipal Science and Technology Commission, the Municipal Bureau of Public Security, the Municipal Finance Bureau, the Municipal Human Resources and Social Security Bureau, the Municipal Administration for Market Regulation, the Municipal Local Financial Regulatory Bureau, the Municipal Foreign Affairs Office, the Office for Cooperation and Exchange Affairs of the Municipal People's Government, Shanghai Headquarters of the People's Bank of China, the Shanghai Office of the China Banking and Insurance Regulatory Commission, the Shanghai Branch of the State Administration of Foreign Exchange, the Shanghai Customs, the Shanghai Federation of Industry and Commerce and other departments and entities shall, within the scope of their respective responsibilities, effectively administer and provide services to the headquarters of private enterprises. | | 市发展改革委、市经济信息化委、市科委、市公安局、市财政局、市人力资源社会保障局、市市场监管局、市地方金融监管局、市政府外办、市政府合作交流办、中国人民银行上海总部、上海银保监局、国家外汇管理局上海市分局、上海海关、市工商联等部门及单位在各自职责范围内，做好对民营企业总部的管理服务工作。 |
| The people's governments of all districts shall effectively promote services to the headquarters of private enterprises within their respective jurisdictions. | | 各区人民政府对辖区内民营企业总部，做好服务促进工作。 |
| Article 4 An enterprise applying for recognition as an enterprise headquarters shall meet the following requirements: | | 第四条 申请认定企业总部，应当符合下列条件： |
| (1) It was registered in this municipality and has been in continuous operation for one year or more; | | （一）在本市注册且持续经营1年（含）以上； |
| (2) Its total assets reached 100 million yuan at the end of the previous year; | | （二）上年末资产总额达到1亿元人民币； |
| (3) Its revenue (sales revenue) exceeded 1 billion yuan in the previous year; and | | （三）上年度营业收入（销售收入）超过10亿元人民币； |
| (4) It has two or more branches other than this municipality. | | （四）除本市外，拥有2个或2个以上分支机构。 |
| Article 5 An enterprise applying for recognition as a headquarters-type organization shall meet the following requirements: | | 第五条 申请认定总部型机构，应当符合下列条件： |
| (1) It is a private enterprise whose parent company is registered in another province or municipality, and has been in continuous operation for one year or more; | | （一）母公司为外省市注册的民营企业，且持续经营1年（含）以上； |
