The Provisions for the Industry and Commerce Administrations on the Prohibition of Monopolistic Agreements, which have been deliberated and adopted at the executive meeting of the State Administration for Industry and Commerce of the People's Republic of China, are hereby promulgated, and shall come into force on February 1, 2011.

Chapter I General Provisions

Article 1 To prohibit monopolistic agreements in economic activities, these Provisions are formulated pursuant to the Anti-Monopoly Law of the People's Republic of China (hereinafter referred to as “Anti-Monopoly Law”).
| | 第一条 为了制止经济活动中的垄断协议行为，根据《中华人民共和国反垄断法》（以下简称《反垄断法》），制定本规定。

Article 2 Business operators are prohibited to conclude monopolistic agreements in economic activities.
A monopolistic agreement refers to any agreement, decision or other concerted action reached in violation of Article 13, 14, 16 of the Anti-Monopoly Law among business operators, or among business operators in a same industry under the organization of the industry association, to eliminate or restrict competition.
A monopolistic agreement can be either written or oral.
Other concerted action means that business operators have concerted actions in practice, though there isn't any written or oral agreement or decision.
| | 第二条 禁止经营者在经济活动中达成垄断协议。
垄断协议是指违反《反垄断法》第十三条、第十四条、第十六条的规定，经营者之间达成的或者行业协会组织本行业经营者达成的排除、限制竞争的协议、决定或者其他协同行为。
协议或者决定包括书面形式和口头形式。
其他协同行为是指经营者虽未明确订立书面或者口头形式的协议或者决定，但实质上存在协调一致的行为。

Article 3 For finding of other concerted action, the following factors shall be taken into account:
| | 第三条 认定其他协同行为，应当考虑下列因素：
|
1. Whether the business operators' market behaviors are consistent;
| | （一）经营者的市场行为是否具有一致性；
|
2. Whether the business operators have exchanged intents or information; and
| | （二）经营者之间是否进行过意思联络或者信息交流；
|
3. Whether the business operators are able to justify their concerted action.
For finding other concerted action, factors such as the structure, competition and fluctuation of the relevant market as well as the status quo of the relevant industry shall also be considered.
| | （三）经营者能否对一致行为作出合理的解释。
认定其他协同行为，还应当考虑相关市场的结构情况、竞争状况、市场变化情况、行业情况等。

Article 4 Competing business operators are prohibited to reach the following monopolistic agreements that restrict the output or sales volume of products:
| | 第四条 禁止具有竞争关系的经营者就限制商品的生产数量或者销售数量达成下列垄断协议：
|
1. Agreements that restrict the output of products or certain types or models of a product by curtailing production, setting fixed output, stopping production or otherwise; or
| | （一）以限制产量、固定产量、停止生产等方式限制商品的生产数量或者限制商品特定品种、型号的生产数量；
|
2. Agreements that restrict the sales volume of products or certain types or models of a product by refusing to supply, restricting the quantity in circulation or otherwise.
| | （二）以拒绝供货、限制商品投放量等方式限制商品的销售数量或者限制商品特定品种、型号的销售数量。

Article 5 Competing business operators are prohibited to reach the following monopolistic agreements that segment the sales market or raw material purchase market:
