Announcement of the Ministry of Commerce

For purposes of regulating the assessment of the competitive impact of anti-monopoly examination of the business operators' concentration and directing business operators to do a good job in the declaration of business operators' concentration, the Ministry of Commerce formulated the Interim Provisions on Assessing the Impact of Concentration of Business Operators on Competition in accordance with the Anti-Monopoly Law of the People's Republic of China, the Measures for the Declaration of Concentration by Business Operators, and the Measures for the Examination of Business Operators' Concentration, which are hereby issued and shall come into force on September 5, 2011.

为规范经营者集中反垄断审查的竞争影响评估，指导经营者做好经营者集中申报工作，根据《中华人民共和国反垄断法》、《经营者集中申报办法》和《经营者集中审查办法》，商务部制定了《关于评估经营者集中竞争影响的暂行规定》。现予公布，自2011年9月5日起施行。

关于评估经营者集中竞争影响的暂行规定

Article 1 These Provisions are formulated in accordance with the Anti-Monopoly Law of the People's Republic of China for purposes of regulating the anti-monopoly examination of business operators' concentration, assessing the impact of business operators' concentration on competition and directing business operators to do a good job in the declaration of business operators' concentration.
| | 第一条 为规范经营者集中反垄断审查工作，评估经营者集中的竞争影响，指导经营者做好经营者集中申报工作，根据《中华人民共和国反垄断法》，制定本规定。

Article 2 The Ministry of Commerce shall conduct anti-monopoly examination of the acts of concentration of business operators in accordance with law.
| | 第二条 商务部依法对经营者集中行为进行反垄断审查。

Article 3 The examination of business operators' concentration shall, in light of the specific circumstances and characteristics of individual cases, take into full consideration the following factors:
| | 第三条 审查经营者集中，根据个案具体情况和特点，综合考虑下列因素：
|
(1) The market share of business operators participating in the concentration in the relevant market and their controlling power over the market;
| | （一）参与集中的经营者在相关市场的市场份额及其对市场的控制力；
|
(2) The degree of market concentration of the relevant market;
| | （二）相关市场的市场集中度；
|
(3) The impact of business operators' concentration on market access and technological progress;
| | （三）经营者集中对市场进入、技术进步的影响；
|
(4) The impact of business operators' concentration on consumers and other relevant business operators;
| | （四）经营者集中对消费者和其他相关经营者的影响；
|
(5) The impact of business operators' concentration on the national economic development; and
| | （五）经营者集中对国民经济发展的影响；
|
(6) Other factors affecting market competition which shall be taken into consideration.
| | （六）应当考虑的影响市场竞争的其他因素。

Article 4 When assessing the possibility of producing an adverse impact on competition by a business operators' concentration, whether the concentration has led to or enhanced the capability, motive and possibility of a certain business operator to solely exclude or restrict competition shall be examined in the first place.
．．．．．． | | 第四条 评估经营者集中对竞争产生不利影响的可能性时，首先考察集中是否产生或加强了某一经营者单独排除、限制竞争的能力、动机及其可能性。
当集中所涉及的相关市场中有少数几家经营者时，还应考察集中是否产生或加强了相关经营者共同排除、限制竞争的能力、动机及其可能性。
当参与集中的经营者不属于同一相关市场的实际或潜在竞争者时，重点考察集中在上下游市场或关联市场是否具有或可能具有排除、限制竞争效果。
