| Guangzhou Shulian Software Technology Co., Ltd. (hereinafter referred to as the “Shulian Company”) instituted an appeal in this court against the Civil Judgment (No.384 [2006], First Instance, Civil Division V of the No. 1 Intermediate People's Court of Shanghai Municipality for the case of disputes over infringement upon the right of network dissemination of information. After the acceptance of this case, this court formed a collegial panel in accordance with the law, and retried this case in an open court session on January 14, 2008. Wang Lei, authorized agent of appellant Shulian Company, and Zhou Tao, authorized agent of appellee Guangdong Zoke Culture Development Co., Ltd. (hereinafter referred to as “Zoke Company”), appeared in court and participated in court proceedings. Shanghai CAV Advertising Co., Ltd., the defendant in first-instance trial,after being legally summonsed by this court, failed to appear in court and participated in court proceedings without any justified reason, and this court tried this case in their absence according to law. | PROCEDURAL POSTURE | | |
| Through trial, the court of first instance found that: On June 2, 2006, ABBA Movies Company Limited (hereinafter referred to as “ABBA Company”) issued a Power of Attorney (Letter of Authorization) to Zoke Company which acted as the entrustee. According to this Letter of Authorization, ABBA Company holds and may transfer according to law all copyrights of the movie "SPL", and hereby exclusively authorizes to Zoke Company the right to network dissemination of information on and the right ofreproduction and distribution of audio-visual products of the movie in the People's Republic of China (excluding Taiwan, Hong Kong, and Macau) for five years which is from October 16, 2005, to October 16, 2010. The aforesaid rights are exclusive and proprietary, and may not be exercised by any third parties including ABBA Company during the authorization period without the approval of Zoke Company. Zoke Company has the right to take legal action in its own name against infringements upon the aforesaid rights of Zoke Company, and claim for compensation, among others. Annexes to this Letter of Authorization include the Certificate of Incorporation of ABBA Company, and the Certificate of Distribution Right issued by Hong Kong Motion Picture Industry Association (“MPIA”). The Certificate of incorporation of ABBA Company records that the English name of the company is “ABBA MOVIES COMPANY LIMITED.” The Certificate of Distribution Right signed by the Executive Director-General of the MPIA (Certificate Number: 13088) records: This is to certify that ABBA Company is the production company of the movie “SPL” the production of which was completed in September 2004 in Hong Kong, and the movie premiered in Hong Kong in November 2005, with the copyright holder thereof as ABBA Company. The distribution materials of the movie are as follows: distribution company: Zoke Company; distribution areas: People's Republic of China (excluding Taiwan, Hong Kong and Macau), among others. The back cover of the DVD of the movie “SPL” records: published by HeilongjiangCulturalElectronicAudi-VisualPublishingHouse, and exclusively distributed by Zoke Company. | ．．．．．． | | 同日，上海市卢湾区公证处依据原告中凯公司委托代理人的申请，对域名为www.poco.cn网站上的相关内容进行证据保全公证，出具了（2006）沪卢证经字第1402号《公证书》。该公证书记载：进入POCO网站，该网站的首页有“电影、摄影、美食、电子杂志、个人主页、视频、影视交互区”等条目栏，左侧页面有“软件下载、最新电影、最新音乐、最新游戏、最新动漫、网友互动资源”等分类框，同时首页上还登载了“阳朔最后一记――斑鱼火锅”等广告。点击网站首页“影视交互区”，显示“多媒体交流”的页面，该页面的左侧显示了“POCO栏目导航”栏，其中分为电影交流区、电视剧交流区、电视节目交流区、音乐交流区、游戏交流区等栏目。在电影交流区中分为“动作片、科幻片、恐怖片、喜剧片、爱情片、文艺片、战争片、动画片”等，点击“动作片”一栏后，该页面的右侧以条块状排列显示了数部电影的海报与剧情简介，其中有《杀破狼》的电影海报与剧情简介，海报下注有“发布时间：2005-11-19”，简介下有“资源下载”栏。点击“资源下载”栏后，该页面的左侧一栏有：卡通头像、“无为大侠§豁然贯通 总版主”、“团队：总版主，贴子：716，POCO号码：3949538，积分：3542，POCO币：2805”等字样。右侧一栏有指引下载栏，记载：“POCO下载 下面是POCO专用的下载链接，您必须安装POCO才能点击下载，大碟版 杀破狼.rmvb"等字样，该指引栏下面有《杀破狼》的电影海报、剧情简介以及电影类型、导演、演员、上映日期与国家地区等信息。点击下载完成后，原告中凯公司的委托代理人录制了电影《杀破狼》的部分片断。在点击下载POCO软件、新用户注册登录POCO网的过程中，POCO网站上显示了“中国绝对领先的免费电影、音乐、动漫等多媒体分享平台，同时在线人数突破70万人，是中国最大的电影音乐动漫分享平台。革命性的多点传输技术更使电影、音乐、游戏等大容量文件传输速度空前提高，使用POCO软件可以真正畅快地体验到高速分享的乐趣”、“千万好友分享无限量影音资源”、“现在登陆POCO，立即下载海量多媒体资源，完全免费”等广告语。在POCO网站上，还有被告数联公司、POCO软件及该网站的内容介绍。在“数联公司简介”中称：数联公司（www.poco.cn）是中国领先的宽带多媒体娱乐互动分享平台，POCO围绕宽带娱乐互动业务覆盖六大领域：POCO多媒体分享软件、Magbox电子杂志发行软件、包含摄影、美食、影视在内的娱乐互动平台、在线视频娱乐平台、电子杂志制作发行。“POCO软件简介”称：POCO为国内用户及广大华语地区用户提供了一个适合中文环境的多媒体资源共享平台，实现真正意义上的多点传输，传输效率大大提高。POCO软件，不仅能够搜索和下载海量的音乐、影视、图片、软件、游戏等资源，更可以使用内置的IM（即时通信）系统方便、快捷地与好友一起分享等。“POCO介绍”部分称：POCO是中国最大的P2P用户娱乐分享平台，目前已经形成了4，100万海量用户，平均在线58.5万，成为中国地区第一的P2P分享平台。“广告投放联系方式CΛV”中称：卡芙公司成为POCO总代理，携手POCO打造中国最强势的互动娱乐平台。 |
| | 被告数联公司于2006年12月6日向广州市公证处申请对www.poco.cn网站上的相关内容进行证据保全公证，该公证处出具了（2006）穗证内经字第105477号《公证书》。该公证书记载了POCO网站的一些告知与提示，在新用户注册过程中显示的“POCO用户服务条款”称：用户不得利用POCO提供的服务，从事侵害他人隐私、版权及其他依法保护的权利的行为。POCO网站分类标准及关键词的设定仅为用户方便使用POCO软件，与内容的出处无关，其出处来自于其他网站，同时搜索结果及下载文件均来自于使用POCO软件的个人用户。同意安装本软件，即为无条件同意承担对所搜索与下载文件所涉及到包括版权在内的一切法律责任。POCO请您尊重权利人的合法权益，在下载或使用前确认自己拥有版权或合法使用权。在“POCO软件用户许可协议”中称：数联公司仅提供POCO软件，内容搜索于互联网中同意本协议的个人用户终端。软件中涉及的所有宽频娱乐服务内容与数联公司无关，其所有权归各影音内容提供商，该所有权受法律的保护。所以，用户只能在影音内容提供商的正式授权下才能使用这些内容，而不能擅自复制、链接、再造、非法传播这些内容等。“多媒体交流”提示称：POCO多媒体分享平台提醒您：根据用户指令，POCO的多媒体信息搜索引擎系统会以非人工的P2P方式自动生成到多媒体信息资源第三方存放处的链接。“POCO多媒体分享平台及软件”自身不存储、控制、编辑或修改被链接的第三方多媒体的信息。数联软件POCO高度重视知识产权保护，并制定了旨在保护权利人的合法权益的措施和步骤，当权利人发现在POCO生成的搜索多媒体链接所指向的第三方资源信息的内容侵犯其著作权时，请权利人向数联POCO发出“权利通知”，数联POCO将依法采取措施移除相关内容或屏蔽相关链接。该《公证书》还演示了以普通用户身份在电影交流区发布电影《命盘杀人魔》贴子的过程，其中包括上传该电影的海报图片与剧情简介等信息、通过POCO软件获取该电影的URL加入该贴子等步骤。 |
| | 2006年12月12日，被告向原告致函，对POCO软件的工作原理、POCO网站的信息搜索功能等进行了说明，认为POCO软件是无中心服务器的第三代P2P软件，该软件本身系一种信息搜索和交换的工具，所有信息资源均由用户提供，在用户之间进行分享和交流，这一过程并不利用公司的服务器或带宽。POCO的工作原理是由程序自动完成整个信息搜索和交换的流程，因此公司不可能对所有用户提供的海量信息进行检查，并精确地判断其内容是否侵权。公司在网站及POCO用户服务条款等处，均明确刊登了著作权保护声明或者警示。任何权利人均可以通过向公司发出“权利通知”的方式便捷地获得权利保护和救济。为表达对解决此事件的诚意，被告已于2006年12月5日主动在POCO网站上删除了《杀破狼》电影资料页面，并对POCO软件进行设置，屏蔽对相关内容的搜索。 |
| | 另查明，2004年12月及2005年12月，两被告之间签订了两份《广告总代理协议》，双方约定：数联公司授权卡芙公司为POCO软件及其网站（www.poco.cn）之网络广告和《POCO志》的唯一指定总代理商，负责寻找广告主在POCO发布广告、POCO各个频道的冠名赞助、POCO各项活动的策划、推广、执行以及《POCO志》项下的各项广告代理业务。卡芙公司向数联公司每月支付广告费，其中2006年前三季度每月的广告费为20万元。被告数联公司还向被告卡芙公司出具了《广告业务代理授权书》。 |
