The Measures on the Administration of Intermediary Activities of the Exit and Entry for Private Purposes have been deliberated and adopted at the minister's working conference of Ministry of Public Security and the bureau affairs conference of State Administration of Industry and Commerce, and are hereby promulgated and enforced.

Chapter I General Provisions
 

第一章 总则


Article 1 These Measures are formulated in accordance with the relevant provisions of the State Council on the administration of intermediary activities of the exit and entry with a view to strengthening the administration on intermediary activities of the exit and entry for private purposes and protecting the lawful rights and interests of citizens.
   第一条 为加强对因私出入境中介活动的管理,保护公民的合法权益,根据国务院关于加强出入境中介活动管理的有关规定,制定本办法。
Article 2 Intermediary activities of the exit and entry for private purposes (hereinafter referred to as intermediary activities) mentioned in these Measures shall mean the activities of providing information, legal consultation, communication, arrangement out of the territory, visa application and the relevant services for such activities of Chinese citizens as residing abroad, visiting relatives, visiting friends and inheriting properties, which are mentioned in Article 2 of Detailed Rules for the Implementation of the Law of the People's Republic of China on the Control of the Exit and Entry of Citizens, and for other non-official business activities.
These Measures shall not apply to such intermediary activities of Chinese citizens as studying abroad, obtaining employment abroad, or the activities of organizing Chinese citizens to travel abroad at their own expenses or providing labor services.
   第二条 本办法所称因私出入境中介活动(以下简称中介活动)系指为《中华人民共和国公民出境入境管理法实施细则》第二条所称中国公民出国定居、探亲、访友、继承财产和其他非公务活动提供信息介绍、法律咨询、沟通联系、境外安排、签证申办及相关服务的活动。
本办法不适用于中国公民出国留学、境外就业的中介活动,以及组织中国公民自费出国旅游、劳务活动。
Article 3 Ministry of Public Security shall conduct centralized administration for the intermediary activities of the whole country. Local public security organs shall, as required by Ministry of Public Security, be responsible for ascertaining the qualifications of intermediary institutions for the exit and entry for private purposes (hereinafter referred to as intermediary institution) as well as administering, supervising and inspecting the business of intermediary activities. The quantity and the distribution of the intermediary institutions to be established shall be in accordance with the circumstance of the activities of the exit and entry for private purposes.
The administrative organs of industry and commerce shall be responsible for the market administration of intermediary activities.
   第三条 公安部归口管理全国的中介活动。地方公安机关按照公安部要求,负责对因私出入境中介机构(以下简称中介机构)的资格认定和中介活动的业务管理、监督、检查。中介机构设置的数量和分布应当与因私出入境活动的情况相适应。
工商行政管理机关负责对中介活动的市场管理。
Article 4 The principles of publicity, justice, honesty and credibility as well as fair competition, standardized services, voluntariness and onerousness shall be complied with in intermediary activities.
   第四条 中介活动应当遵循公开、公正、诚实信用和公平竞争、规范服务、自愿有偿的原则。
Chapter II Establishment of Intermediary Institutions
 

第二章 中介机构的设立


Article 5 To establish an intermediary institution, an application shall be filed at the administrative department for the exit and entry of the public security organ at the prefecture level or city level in the place where the institution is to be located, and be submitted to Ministry of Public Security for record after the qualification has been ascertained by the public security organ at the provincial level. To the institution that has obtained the qualification ascertainment, an Operational Permit of Intermediary Institution for the Exit and Entry for Private Purposes (hereinafter referred to as Operational Permit) with the validity period to be five years shall be issued by a public security organ at the provincial level.
The applying institution shall, with the Operational Permit, apply to the administrative organ of industry and commerce for registration, and shall, after the registration, report to the administrative department for the exit and entry of the public security organ at the prefecture level or city level in the place where the institution is to be located for record.
   第五条 设立中介机构应当向机构所在地的地、市级公安机关出入境管理部门提出申请,经省级公安机关资格认定后报公安部备案。获得资格认定的,由省级公安机关颁发有效期为五年的《因私出入境中介机构经营许可证》(以下简称《经营许可证》)。
申请机构凭《经营许可证》依法向工商行政管理机关申请办理登记注册。登记注册后,向机构所在地的地、市级公安机关出入境管理部门备案。
Article 6 To establish an intermediary institution, the following requirements shall be met:
   第六条 设立中介机构应当具备以下条件:
(1) meeting the requirements for establishing an enterprise as a legal person;
 (一)符合企业法人设立的条件;
(2) the legal representative of the institution shall be a Chinese citizen with a permanent residence registration in China and with full capacity for civil conduct, he/she shall conform to the relevant provisions on the registration and management of legal representatives of enterprises, and shall have never been imposed on a criminal punishment for committing the crime against the control of national border (frontier);
 (二)法定代表人应当是具有境内常住户口、具有完全民事行为能力的中国公民,符合企业法定代表人登记管理的有关规定,且未因犯妨害国(边)境管理秩序罪受过刑事处罚;
(3) having a staff of more than five persons who are familiar with the exit and entry laws, regulations and policies of China and the relevant countries; the main working staff members shall have an educational background of junior college graduation or above, and shall have never been imposed on a criminal punishment for committing the crime against the control of national border (frontier); in the staff, there shall be members with professional qualifications in foreign languages, law and accounting;
 (三)有熟悉我国和相关国家出入境法律、法规和政策的工作人员,工作人员不得少于五名;主要工作人员应当具有大学专科以上学历,未因犯妨害国(边)境管理秩序罪受过刑事处罚。其中应当有具备专业资格的外语、法律、财会人员;
(4) having made rules and systems which can guarantee the normal operation of intermediary activities, and the managers and responsible staff members having been appointed;
 (四)已建立保证中介活动正常运行的规章制度,落实管理、责任人员;
(5) having established the relationship of cooperation and communication and directly signed effective letters of intent for cooperation or cooperation agreements with the relevant foreign service institutions for the exit and entry.
 (五)与外国相关出入境服务机构已建立合作与交流关系,直接签署有效的合作意向书或者合作协议。
Article 7 The following documents shall be submitted (in duplicate) when applying for an Operational Permit:
   第七条 申请《经营许可证》应当提交以下材料(一式两份):
(1) an Application Form for the Qualification of Intermediary Institution for the Exit and Entry for Private Purposes completely filled out;
 (一)填写完整的《因私出入境中介机构资格申请表》;
(2) resumes, relevant identities and qualification attestations of the legal representative, the main person in charge and the main staff members;
 (二)法定代表人、主要负责人、主要工作人员的简历和有关身份、资格证明;
(3) the effective letters of intent or agreements for cooperation directly signed with foreign service institutions for the exit and entry (each is written both in Chinese and a foreign language), and the lawful qualification attestations of the foreign contractual parties certified by Chinese embassies or consulates abroad;
 (三)与外国出入境服务机构直接签署的有效的合作意向书或者协议(中、外文本),以及经我国驻外使、领馆认证的外国签约方的合法资格证明;
(4) the capital assessment certificate issued by a capital assessment institution with legal qualification;
 (四)具有法定资格的验资机构出具的验资证明;
(5) articles of association of the enterprise;
 (五)企业章程;
(6) rules and systems which can guarantee the normal operation of intermediary activities;
 (六)保证中介活动正常运行的规章制度;
(7) the feasibility report on the intermediary activities planned to be carried out;
 (七)拟开展中介活动的可行性报告;
(8) attestations on the use of domicile and business site;
 (八)住所和经营场所使用证明;
(9) the enterprise name pre-approved by the administrative organ of industry and commerce.
 (九)工商行政管理机关预先核准的企业名称。
Article 8 The public security organ shall complete the qualification ascertainment within 60 working days after accepting an application. Where the application has met the requirements for qualification ascertainment, the public security organ at the provincial level shall submit the application documents (copies) together with the qualification ascertainment report to Ministry of Public Security for record. Where the application has not met the requirements for qualification ascertainment, the public security organ that accepted the application shall notify the applying institution in time and return the application documents.
   第八条 公安机关应当在受理申请后的60个工作日内完成资格认定工作。符合资格认定条件的,由省级公安机关将申请材料(副本)连同资格认定报告一并报公安部备案。不符合资格认定条件的,由受理申请的公安机关及时通知并连同申请材料退还申请机构。
Article 9 Where an institution or individual out of the territory or a foreign institution in China applies for an Operational Permit, the application shall not be accepted.
   第九条 境外机构、个人以及外国驻华机构申请《经营许可证》的,不予受理。
Chapter III Operation of Intermediary Institutions

Article 10 An intermediary institution may provide the following services for people who are go abroad to reside, visit relatives, visit friends or inherit properties, or who are engaged in other non-official business activities:
