Notice of the State Administration of Foreign Exchange on Relevant Issues concerning Foreign Exchange Administration Relating to the External Disposal of Non-performing Loans by China Cinda Asset Management Co., Ltd.

Given that the project on the disposal of non-performing loans with a book value of 2.562 billion yuan by China Cinda Asset Management Co., Ltd. in the form of overseas investment has been approved by the National Development and Reform Commission, you are hereby notified of the relevant issues on foreign exchange administration of the project as follows:

国家外汇管理局北京外汇管理部：
鉴于中国信达资产管理公司以境外投资形式处置账面价值25.62亿元人民币不良债权项目已经国家发展改革委批准，现就项目中有关外汇管理问题通知如下：

I. China Cinda Asset Management Co., Ltd. (hereinafter referred to as the “Cinda Co.”) shall handle filing registration formalities for the disposal of non-performing loans with your Branch. The creditor's rights shall be priced in RMB, and Cinda Co. shall provide the following materials to your Branch when handling the registration formalities:
| | 一、中国信达资产管理公司（以下简称“信达公司”）应到你部办理对外处置不良债权备案登记手续。债权以人民币计价，办理登记手续时应向你部提供以下材料：

1. an application report on the filing registration of external disposal of non-performing assets (including the basic information on the asset management company, the non-performing assets to be disposed, transaction structure, asset recovery and evaluation);
| | （一）对外处置不良资产进行备案登记的申请报告（包括资产管理公司基本情况、待处置的不良资产内容、交易结构、资产回收状况及评价）；
|
2. a registration form for the filing of external disposal of non-performing loans (see Annex 1);
| | （二）对外处置不良债权备案登记表（见附件1）；
|
3. an asset transfer agreement or the agreement or clauses leading to the transfer of asset ownership;
| | （三）资产转让协议或其他导致资产所有权发生转移的协议或条款；
|
4. a list of each item of transferred assets (the contents shall be as specific as possible, including the debtor, face value of creditor's rights, time limit, interest rate and other basic information); and
| | （四）被转让资产逐笔清单（内容尽量详细，包括债务人、债权面值、期限、利率等基本信息）；

5. the business license and business permit of Cinda Co.
Your Branch shall, after finding no error upon examination, fill out the registration form for the filing of the external disposal of non-performing loans, and after affixing a signature and seal, provide one copy to the applicant and retain one copy. The form is the main basis for remitting abroad the foreign party's proceeds.
| | （五）信达公司的营业执照、业务许可证。
你部审核无误后，填写对外处置不良债权备案登记表，签章后一联交申请人，一联留存。此表是将来汇出外方收益的主要依据。

II. Cinda Co., as the domestic agent of a foreign investor, shall go through the approval formalities with your Branch for remitting abroad the foreign party's proceeds receivable, and may purchase foreign currency and remit abroad the foreign party's proceeds receivable upon the approval of your Branch. When handling the formalities for purchasing foreign currency and remitting abroad the foreign party's proceeds receivable, your Branch shall require Cinda Co. to provide the following materials:
