Measures for the Administration of the Registration of Enterprise Chattels Under Mortgage

Article 1. In order to strengthen the administration of the registration of enterprise chattels under mortgage, prevent repeated mortgage and guarantee the realization of the right of mortgage, these Measures are formulated according to relevant provisions of the Law of the People's Republic of China on Security.
| | 第一条 为加强对企业动产抵押物的登记管理，防止重复抵押，保障抵押债权的实现，根据《中华人民共和国担保法》的有关规定，制定本办法。

Article 2. Administrative departments for industry and commerce are the registration agencies of enterprises chattels under mortgage.
The registration of enterprise chattels under mortgage shall be handled by the administration for industry and commerce of the location of the enterprise chattels under mortgage. If the enterprise chattels under mortgage are separately kept in two or more areas under different registration agencies, the administration for industry and commerce of the city or town where the main chattels under mortgage are located shall handle the registration, and shall send a copy of the registration to the registration agency of the mortgagor and the registration agency where other chattels under mortgage are located.
If the location of the enterprise chattels under mortgage and the location of the registration agency of the mortgagor are the same, the registration agency of the mortgagor shall handle the registration.
| | 第二条 工商行政管理部门是企业动产抵押物的登记机关。
企业动产抵押物登记，由抵押物所在地的工商行政管理局办理。企业动产抵押物分别存放于两个以上不同登记机关辖区时，由主要抵押物所在地的市、县工商行政管理局登记，并将登记情况抄送抵押人登记注册机关和其他抵押物所在地的登记机关。
企业动产抵押物所在地与抵押人原登记注册机关所在地一致的，由抵押人登记注册机关登记。

Article 3. When mortgaging the following chattels (aircrafts, ships and vehicles are not included), an enterprise shall apply to the administration for industry and commerce for the registration of chattels under mortgage after the mortgage contract is signed and sealed, the mortgage contract shall take effect on the date of registration:
| | 第三条 企业以除航空器、船舶、车辆以外的下列动产抵押的，应当在抵押合同签字盖章后到工商行政管理机关申请办理抵押物登记，抵押合同自登记之日起生效：
|
1) Equipments of the enterprise;
| | （一）企业的设备；
|
2) Raw materials and supplementary materials of the enterprise;
| | （二）企业的原辅材料；
|
3) Products or commodities of the enterprise; and
| | （三）企业的产品或者商品；
|
4) Other chattels of the enterprise that may be mortgaged according to law.
After the enterprise chattels have been mortgaged, if the value of those chattels exceeds the secured debt, the rest sum may be applied for mortgage registration again.
| | （四）企业其他可以依法抵押的动产。
企业动产抵押后，该动产价值大于所担保债权的，其余额部分可以再次申请办理抵押登记。

Article 4. To register chattels under mortgage, both parties of the mortgage contract shall jointly submit the Application for Registration of Enterprise Chattels under Mortgage to the registration agency, and provide the following documents or the copies of them:
| | 第四条 办理动产抵押登记，由抵押合同双方当事人共同向登记机关提交《企业动产抵押物登记申请书》，并提供下列文件或者其复印件：
|
1) Main contract and mortgage contract;
| | （一）主合同和抵押合同；
|
2) Certificates of the ownership or the usufruct of relevant chattels under mortgage;
| | （二）有关动产抵押物的所有权或者使用权证书；
|
3) Materials about the storage of relevant chattels under mortgage;
| | （三）有关动产抵押物存放状况资料；
|
4) Business licenses of both parties of the mortgage contract;
| | （四）抵押合同双方当事人的营业执照；
|
5) Certificates of the identities and competency of the agents of both parties; and
| | （五）双方代理人身份和权限证明文件；
|
6) Other materials needed to be provided.
| | （六）需要提供的其他资料。

Article 5. The Application for Registration of Enterprises Chattels under Mortgage shall clearly state the following contents:
| | 第五条 《企业动产抵押物登记申请书》应当载明下列内容；
|
1) Names (personal names) and addresses of the mortgagor and the mortgagee, personal names, genders and domiciles of the legal representative and the agent;
| | （一）抵押人和抵押权人的名称（姓名）、地址、法定代表人和代理人的姓名、性别、住所；
|
2) Reasons for applying registration of chattels under mortgage;
| | （二）申请抵押物登记的原因；
|
3) Name, quantity, trademark, model and specification, number, date of production, useful life, value and storage place of the chattels under mortgage;
| | （三）抵押物的名称、数量、品牌、型号规格、号码、出厂日期、使用年限、价值、存放地等；
|
4) Ownership or usufruct of the chattels under mortgage;
