REGULATIONS CONCERNING CUSTOMS SUPERVISION AND CONTROL OVER THE INWARD PROCESSING AND ASSEMBLING OPERATION (AMENDED)

Article 1. The State applies preferential policy to the inward processing and assembling operations. With a view to encouraging and promoting the development of processing and assembling operation with the materials or parts provided by the foreign firms and to strengthening Customs supervision and control over such operations, the present regulations are drawn up on the basis of "The Customs Law of the People's Republic of China" and relevant decrees of the State Council of the People's Republic of China.
| | 第一条 国家对于对外加工装配业务实施优惠政策。为鼓励和促进对外加工装配业务的健康发展，并加强对这项业务的管理，根据《中华人民共和国海关法》和国务院关于开展对外加工装配的有关法规，特制定本规定。

Article 2. The processing and assembling operations referred to in the present regulations mean any transaction with foreign firms that provide all or part of materials, accessories, parts, components`, component parts and packing materials (hereinafter referred to as "materials and parts") for processing or assembling in China in accordance with the requirements of the foreign firms. The foreign firms may provide equipment when necessary. The finished products shall be delivered to the foreign firms for sale and the processing enterprises shall charge for the operation done. The cost of equipment provided by the foreign firms shall be compensation for with such processing operation charges.
| | 第二条 本规定所称对外加工装配业务主要是指：外商提供全部或部分原材料、辅料、零部件、元器件、配套件和包装物料（以下简称“料、件”），必要时提供设备，由我方加工单位按外商的要求进行加工装配，成品交外商销售，我方收取工缴费，外商提供的作价设备价款，我方用工缴费偿还的业务。

Article 3. The corporations and enterprises such as foreign trade corporations and industry and trade corporations engaged in foreign trade who are approved either by the Ministry of Foreign Economic Relations and Trade, or by the relevant governments of different provinces, autonomous regions and municipalities directly under the Central Government, or by the regional people's governments authorized by the State (including those engaged in processing and assembling operations approved by authorities at or above county level in Guangdong and Fujian provinces) may conclude contracts with foreign firms by themselves or jointly with processing and assembling factories in China. Factories which are not authorized to conduct foreign trade business shall talk business and sign contracts with foreign firms with the participation of the above mentioned corporations and enterprises.
In the cases of concluding contracts by agents in China entrusted by foreign firms, a certificate of entrustment certified by notary organs or by departments of foreign economic relations and trade shall be produced.
The enterprises engaged in processing and assembling operations and the agents of the foreign firms shall be economic entitles qualified as legal persons.
| | 第三条 凡经对外经济贸易部、有关省、自治区、直辖市人民政府或国家授权地主人民政府批准有对外经营权的外贸（工贸）公司（包括广东、福建两省的县级和县级以上的对外加工装配服务公司，下同）可以对外签约，也可以与国内加工单位联合对外签约承接加工装配业务。没有对外经营权的加工单位在与外商谈判时，需有上述公司参加，并共同对外签约。
外商委托我国内代理人签订合同的，必须提供经国内公证机构或经贸部门认定的委托证明文件。
承接对外加工装配的企业和外商的国内代理人必须是具有法人资格的经济实体。

Article 4. The contracts signed by the enterprises shall be subject to the examination and ratification of the Ministry of Foreign Economic Relations and Trade, the relevant ministries and commissions under the State Council, departments of foreign economic relations and trade of the provinces, autonomous regions and municipalities direct under the Central Government, or their authorized organs.
The contracts signed shall enumerate the following items:
| | 第四条 经营单位对外签订的合同，须经对外经济贸易部、国务院有关部委或省、自治区、直辖市的对外经贸管理部门，或者他们授权的机关审批。
签订的合同必须具体列明以下内容：

(1) materials, parts and equipment provided by the foreign firm;
| | （一）外商提供的料、件、设备；
|
(2) description, specifications, quantity, type or packing and price of the finished products;
| | （二）我方加工成品的名称、规格、数量、包装、价格；
|
(3) time of delivery, port of entry and exit, method of transport, means of payment in respect of the imported materials, parts and finished products, quotas of input materials, rate of depreciation and processing charges;
| | （三）进口料、件、设备和加工成品的交货日期、进出口岸、运输方式、支付方式、用料定额、损耗率、工缴费标准；
|
(4) validity of contract and terms on breach of contract, withdrawal of contract, claims and arbitration; and
| | （四）合同有效期限和违约、撤约、索赔、仲裁办法；
|
(5) materials and parts to be purchased in China by foreign firms in foreign exchange. Such materials and parts shall, in accordance with the regulations concerned, get approval of the competent departments of foreign economic relations and trade or the head office of foreign trade corporations concerned and shall be indicated in the contracts.
| | （五）外商在我境内用外汇价购的料、件应按规定报经贸主管部门或有关外贸进出口总公司批准并在合同中注明。

Article 5. The materials and parts to be used for processing and assembling and the approved equipment necessary directly for production shall be admitted without import licences.
Finished products after being processed and assembled shall be admitted without export licences.
| | 第五条 对外加工装配项下进口的料、件和经批准进口直接用于生产的必要的机器设备免领进口货物许可证。
加工装配后的成品免领出口许可证

Article 6. Within one month after approval of the contract, the processing enterprise shall fulfill the registration procedure at the nearest Customs or at a designated Customs (hereinafter referred to as "the competent Customs") by submitting the following documents and certifications;
| | 第六条 对外签订的合同自批准之日起一个月内，由经营单位持下列证件向加工单位所在地海关或分工管理的海关（以下简称“主管海关”）办理登记备案手续：

(1) the business licence of the processing enterprise or of the foreign trade (or industry and trade) corporation;
