Notice of China Banking Regulatory Commission on Issuing the Guiding Opinions about the External Marketing of Commercial Banks (No. 20 [2005] of China Banking Regulatory Commission) All banking regulatory bureaus, all state-owned commercial banks and joint stock commercial banks: The Guiding Opinions about the External Marketing of Commercial Banks are hereby printed and distributed to you. All banking regulatory bureaus should forward these guiding opinions to the branches of banking regulatory bureaus, all urban commercial banks, solely foreign-funded banks, Sino-foreign equity join banks and branches of foreign banks within their respective jurisdiction. 商业银行外部营销业务指导意见

1.These Guiding Opinions are formulated for the purposes of regulating the development of external marketing of commercial banks, ensuring that the banks operate in accordance with the laws and regulations, preventing the illicit publicity acts in the external marketing from ruining the banks' reputation, and effectively protecting the legitimate rights and interests of consumers.
| | 一、为了规范发展商业银行外部营销业务,保障银行合法合规经营,防止外部营销活动中不规范的推介行为损害银行声誉,有效保护消费者权益,特制定本指导意见。

2.The term "commercial banks" (hereinafter referred to as the banks) as mentioned in these Guiding Opinions refers to commercial banks, including state-owned commercial banks, joint stock commercial banks, solely foreign-funded banks, Sino-foreign equity joint banks and branches of foreign banks lawfully established within the territory of China.
| | 二、本指导意见所称商业银行(以下简称银行)是指在中华人民共和国境内依法设立的商业银行,包括国有商业银行、股份制商业银行、城市商业银行、外资独资银行、中外合资银行和外国银行分行。

3.The term "external marketing" as mentioned in these Guiding Opinions refers to the activities that the external salesmen of a bank recommend to the consumers the various products and services relating to the personal banking business or retail banking business at places other than the fixed business site approved by the regulatory department, which include establishing a temporary stall or road show place, renting a relatively fixed place to publicize the banking products and services, the external salesmen's visiting clients who haven't any business with the bank, and other non-actual-transaction activities, excluding the actual sale activities or other transaction acts through telephone, internet or other channels.
| | 三、本指导意见所称外部营销是指银行在经监管部门批准的固定营业场所以外,由银行外部营销人员向消费者推介个人银行业务或零售银行业务的各类产品和服务的活动,包括:设立临时性摊位或路演地点、租用相对固定场所进行银行产品和服务介绍,外部营销人员上门造访与本银行尚无业务关系的客户等非实际交易性活动。不包括通过电话、互联网等渠道进行的实际销售活动或其他交易行为。

4.The term "external salesmen" as mentioned in these Guiding Opinions refers to the internal staff members engaging in the external marketing business who are hired by and are subject to the employment management of a bank, as well as the external salesmen who are subject to the employment management of a external human resource management agency but are hired by a bank. The bank shall hire and administer the latter in strict accordance with the relevant provisions in these Guiding Opinions.
| | 四、本指导意见所称外部营销人员是指银行负责招聘及用工管理的从事外部营销业务的银行内部员工,以及银行使用外部人力资源管理代理机构负责用工管理的外聘外部营销人员。银行应严格按照本指导意见的有关规定使用和管理外聘外部营销人员。

5.A bank shall comply with the following principles when it recommends its banking products and services by way of external marketing:
| | 五、银行采取外部营销方式推介银行产品和服务,必须遵循以下原则:

(1)The products and services to be recommended by way of external marketing shall be within the business scope of the bank. The business scope of external marketing shall be merely limited to the activities such as introducing the bank's comprehensive information, recommending the banking products, seeking and developing client resources, distributing blank application documents about financial products and services. No external salesman may collect the application documents of financial products and services filled out by the consumers, or contact the cash or other banking business vouchers or legal documents. Each link for handling a banking product or service shall be completed in the bank's fixed business site as approved by the regulatory department.
| | (一)外部营销推介的产品及服务必须在银行的业务范围之内。外部营销的业务范围仅限于银行综合信息的介绍,推介银行产品,寻找和开拓客户资源,分发空白的金融产品与服务的申请文件。不得收取已经消费者填写的金融产品与服务的申请文件,不得接触现金及其他银行业务凭证和法律文件。 银行产品和服务的每个处理环节必须在经监管部门批准的银行固定营业场所内完成。

(2)A bank engaging in external marketing shall submit a report to the local institution dispatched by the China Banking Regulatory Commission (CBRC), such a report shall at least contain the category of the to-be-recommended products, operating procedures, internal control system, training plan, as well as the way, management framework, methods for the calculation of wages and remuneration, supervision and inspection mechanism, and qualification classification system of the employed external salesmen. ...... | | (二)银行从事外部营销业务应向所在地银监会派出机构报告,报告内容应至少包括拟推介产品的种类、操作程序、内控制度、培训计划、外部营销人员的聘用方式、管理架构、薪酬计算方法、监督检查机制、外部营销人员资质等级分类制度等。 ...... |
